ASSUMPTION OF RISK, RELEASE AND WAIVER OF
LIABILITY, AND INDEMNITY AGREEMENT
DECLARATIONS: This Agreement is entered into 727 Pilates Studios MC LLC (“727 Pilates
Studio”) and the undersigned (“Member”). The provision of Member’s use of any premises,
facilities or equipment is contingent upon this Agreement.
ASSUMPTION OF RISK. You hereby acknowledge and agree that use by Member and
Member’s guests, including Member’s minor children, of the facility, services, equipment or
premises oﬀered by 727 Pilates, and its respective oﬃcers, directors, employees and agents,
involves risks of injury, illness, and loss to persons and property. Member understands, voluntarily
accepts and assumes full responsibility for such risks, which include (but are not limited to) injuries
arising from use of exercise equipment, machines, and other services offered to members; injuries
arising from participation in supervised or unsupervised activities or programs; injuries and
medical disorders arising from exercising such as heart attacks, strokes, heat stress, sprains, broken
bones, and torn muscles and ligaments, among others; accidental injuries occurring in dressing
rooms, showers; and injuries so severe they result in permanent disability, head injury, paralysis,
and even death. You also represent (a) that Member, Member’s minor children, and/or guests are
in good physical condition and have no disability, illness, or condition that could prevent them
from exercising without injury or impairment of health, and (b) that Member and his or her guests
have consulted a physician concerning an exercise program that will not risk injury or impairment
of Member and his or her guests’ health.
RELEASE AND WAIVER OF LIABILITY. Further, in consideration of Member and
Member’s minor children and/ or guests being permitted to enter the facility of 727 Pilates Studio
at 307 Northeast 61St Street Miami, FL 33137 for any purpose including, but not limited to,
observation, use of facility, services or equipment, or participation in any way, Member agrees
that 727 Pilates Studio will not be liable for any injury, including personal, bodily, or mental injury,
illness, disability, death or economic loss to the person or property of Member and/or Member’s
minor children and/or guests. Member hereby releases and holds harmless 727 Pilates Studio from
all liability to Member, Member’s unborn and/or living children, guests, spouse or domestic
partner, Member's personal representatives, assigns, heirs, and next of kin for any loss or damage,
and forever gives up any claim or demands therefore, on account of injury or loss to person or
property, including injury leading to death, whether caused by the active or passive negligence of
727 Pilates Studio or otherwise, and whether related to exercise or not, to the fullest extent
permitted by law, while Member, Member’s minor children, and/ or guests are in, on, or about 727
Pilates Studio premises or using any 727 Pilates Studio facilities, services, digital content, or
equipment.
INDEMNIFICATION. Member also hereby agrees to indemnify 727 Pilates Studio from any
loss, liability, damage or cost 727 Pilates Studio may incur due to the presence of Member,
Member’s children, and/ or guests in, on or about 727 Pilates Studio premises or in any way
observing or using the facility or equipment of 727 Pilates Studio, whether caused by the
negligence of Member(s) or otherwise.
Member further expressly agrees that this release and waiver of liability and indemnity is intended
to be as broad and inclusive as permitted by the law of the state of Florida and that if any portion
is held invalid, the balance shall continue in full force and eﬀect. Member has read this release and
waiver of liability and indemnity and agrees that no oral representations, statements or inducement
apart from this Agreement have been made. I understand my release of liability, assumption of
risk, and agreement to indemnify, defend and hold harmless and I have been given the opportunity
to review and ask questions related to my use of the facilities, exercise equipment and other
services offered to Members.
AGREEMENT TO ARBITRATE ALL DISPUTES. In the unlikely event that 727 Pilates
Studio is unable to resolve a complaint you may have to your satisfaction (or is unable to resolve
a dispute with you after attempting to do so informally), subject to your right to opt-out below,
you and 727 Pilates Studio each agree to resolve such disputes through binding arbitration
or small claims court rather than a court of general jurisdiction. For the purposes of this
arbitration provision, a “dispute” between us shall be broadly construed to mean any dispute,
claim, or controversy between you and 727 Pilates Studio, its affiliates and their respective
officers, directors, employees and agents, arising from or relating to this agreement, your access
to or use of the 727 Pilates Studio facility, or your access to and use of any 727 Pilates Studio
digital content, whether based in contract, tort, warranty, regulation, statute, or any other legal or
equitable basis.
A. Class Action Waiver. To the fullest extent permitted by law, you acknowledge and agree
that you are waiving the right to a trial by jury and the right to participate in a class action,
either in court or in arbitration. This means that you may not join claims in arbitration with
or against other members, or litigate in court or arbitrate any claims as a representative or
member of a class and that the arbitrator may not consolidate any claims into a class
proceeding. However, if this class action waiver is held unenforceable as to all or some
parts of a dispute, to the extent that any claims must proceed on a class, consolidated, or
representative basis, such claims must be litigated in Miami-Dade County, Florida, not in
arbitration, with any remaining parts proceeding in individual arbitration.
B. Arbitration Exceptions. Nothing in this arbitration provision shall prevent you and 727
Pilates Studio from: (i) bringing an individual action if the dispute is within the jurisdiction
of a small claims court, (ii) seeking to enjoin infringement or other misuse of intellectual
property rights, in which case either you or we may bring suit in court to seek injunctive
or other equitable relief to enjoin infringement or other misuse of intellectual property
rights, (iii) seeking public injunctive relief from any court of competent jurisdiction, or (iv)
pursuing an available enforcement action through any local, state, or federal governmental
agency. Other than for small claims court actions, for any disputes not subject to mandatory
arbitration pursuant to this arbitration provision, you agree to submit the dispute to the
exclusive jurisdiction of the state or federal courts of Florida for resolution, and you further
irrevocably waive any right you may have to trial by jury in any such, action or proceeding.
C. Arbitration Rules. The Federal Arbitration Act, 9 U.S.C. § 1 et seq. shall govern the
interpretation and enforcement of this arbitration provision. For simplicity and fairness,
arbitration will be conducted on an individual basis before a single arbitrator in accordance
with the then current American Arbitration Association’s Consumer Arbitration Rules
(“AAA Rules”), available at www.adr. org or by calling the AAA at 1-800-778-7879. The
arbitrator, and not any local, state, or federal court, shall have the exclusive authority to
determine all issues regarding the interpretation, applicability, and enforcement of this
agreement and all issues regarding the arbitrability of the dispute, including but not limited
to any claim that all or part of this arbitration provision is void or voidable. The decision
of the arbitrator shall be final and the arbitration award enforceable by any court with
jurisdiction over the parties. In the event of a conflict between the terms of this arbitration
provision and the AAA Rules, the terms of this arbitration provision shall control unless
the arbitrator determines that the application of any inconsistent arbitration provision terms
would result in a fundamentally unfair arbitration.
D. Opt-Out. If you do not want to be bound by this arbitration provision, you must notify 727
Pilates Studio in writing, by mail to 727 Pilates Studio MC LLC, 307 Northeast 61St Street
Miami, FL, within 30 days of the date you sign this agreement, stating that you do not want
to resolve disputes with 727 Pilates Studio by arbitration. The opt-out notice must include:
(i) your name, (ii) your mailing and email address, and (iii) your request to be excluded
from this mandatory arbitration provision. Your rejection of this arbitration provision shall
have no effect on the remaining provisions of this agreement.

Studio and Member with respect to the subject matter contained herein and supersedes all prior
and contemporaneous agreements, both written and oral, with respect to such subject matter. By
signing, I acknowledge that I have read and understood all of the terms of this Release and am
voluntarily giving up substantial legal rights.
