COMBINED LIABILITY WAIVER, ASSUMPTION OF RISK, INDEMNITY AGREEMENT & PUBLICITY RELEASE**
THIS AGREEMENT CONTAINS A WAIVER OF YOUR RIGHT TO SUE, A RELEASE OF ALL CLAIMS, AND SIGNIFICANT LEGAL RIGHTS. READ CAREFULLY BEFORE SIGNING.
By entering or participating in the Coffee & Chill Event taking place at Ultra Padel LLC (6301 NE 4th Ave, Miami, FL 33138) and/or Ultra Padel 2 LLC (400 NE 67th St, Miami, FL 33138) (collectively, the “Venue Operators”), I agree to the following terms.

1. RELEASE OF LIABILITY (EVENT ORGANIZER + VENUE OPERATORS)
In consideration for being permitted to participate in the Coffee & Chill event and all associated activities (“Event”), I, for myself and my heirs, executors, administrators, successors, and assigns, release, waive, discharge, and agree not to sue the following parties for any and all claims, damages, losses, injuries, liabilities, or causes of action arising from my participation in or presence at the Event, including those caused by ordinary negligence:

Ultra Padel LLC and Ultra Padel 2 LLC (Venue Operators)

The officers, directors, managers, employees, contractors, and representatives of all Released Parties

Coffee & Chill Venice LLC

Coffee & Chill San Diego LLC

GOSUBIT PTY LTD

All Event sponsors, advertisers, vendors, volunteers, treatment providers, and service providers

Event partners and all persons involved in the orchestration and execution of the Event

Owners and lessors of the premises

This release applies to both known and unknown risks, including risks arising from the passive or active negligence of the Released Parties.

2. DESCRIPTION OF EVENT ACTIVITIES
Activities include, without limitation:
Cold plunges, ice baths, saunas, compression therapy, stretching, physical activity, IV treatments, red light therapy, massage, chiropractic treatment, dunk tanks, inflatable slides and obstacle courses, food and beverage consumption, congregation of people, temporary structures, vendor activations, and all other activities presented at the Event.

3. ASSUMPTION OF RISK
I acknowledge that the Venue Operators do not supervise or control the activities of vendors or other participants. I acknowledge that participating in or attending the Event involves inherent risks, including but not limited to:
Death, paralysis, heart attack, stroke


Drowning, hypothermia, hyperthermia, frostbite


Burns (minor and severe) from saunas or equipment


Heat exhaustion or heat stroke


Electrocution from electrical equipment


Joint, bone, eye injuries


Concussions or loss of consciousness


Allergic reactions, choking, foodborne illness


Exacerbation of pre-existing medical conditions


Exposure to COVID-19 or other communicable diseases


Risks arising from venue conditions, facilities, equipment, temporary structures, vendors, other participants, spectators, and environmental factors


I voluntarily assume all such risks, whether known or unknown.

4. INDEMNIFICATION
I agree to indemnify, defend, and hold harmless all Released Parties, including the Venue Operators, from any and all claims, suits, liabilities, damages, attorney fees, and expenses arising from:
My participation in the Event


My presence on the premises


My actions, conduct, or violations of this Agreement



5. INDEPENDENT VENUE RELEASE
I understand and agree that:
This waiver is intended to protect the Venue Operators specifically, in addition to protecting the Event Organizer.


This release of the Venue Operators is independent, even though it is contained in a combined document.


Signing this Agreement satisfies any requirement to sign a separate venue waiver, unless the Venue Operators require an additional form at their discretion.



6. AGE REQUIREMENT
I certify that I am at least 18 years of age.
Individuals under 18 are not permitted to attend or participate under any circumstances.

7. CERTIFICATION OF SOBRIETY
I certify that I have not consumed alcohol, illegal drugs, impairing substances, or medications that would affect temperature regulation or cardiovascular function within the past 24 hours. If found impaired, I may be denied participation without refund.

8. PUBLICITY RELEASE
I grant the Released Parties full rights to use my image, name, voice, and likeness for any commercial, promotional, or lawful purpose, without compensation, and waive rights to inspect or approve materials.

9. GOVERNING LAW
This Agreement shall be governed by Florida law, regardless of conflict-of-law principles.

10. SEVERABILITY & CONSENT TO ELECTRONIC SIGNATURE:

I agree that clicking on the consent box or electronically signing this Agreement will have the same effect as if I were physically signing this Agreement and is evidence of my intent to be bound by this Agreement.

11. ACKNOWLEDGMENT OF UNDERSTANDING
I confirm I have read this Agreement fully, understand its implications, and voluntarily agree to be bound by its terms.
