PARTICIPANT WAIVER, ASSUMPTION OF RISK & RELEASE OF LIABILITY

PLEASE READ THIS DOCUMENT CAREFULLY BEFORE SIGNING. IT CONTAINS A RELEASE OF LIABILITY AND WAIVER OF LEGAL RIGHTS. BY SIGNING, YOU GIVE UP YOUR RIGHT TO BRING A LEGAL CLAIM AGAINST THE RELEASED PARTIES FOR INJURIES OR DAMAGES ARISING FROM YOUR PARTICIPATION. DO NOT SIGN IF YOU DO NOT FULLY UNDERSTAND AND AGREE.

BLOCK 2 — Section 1 (Text block)

PARTIES & SCOPE

This Waiver, Assumption of Risk, and Release of Liability ("Agreement") is entered into between the undersigned participant ("I", "me", or "Participant") and Club Track St. Pete, operated under Liquid Gold LLC, and its owner/operator Ryan Billian ("BillianBuilt"), collectively referred to as the "Released Parties."

This Agreement applies to all participation in Club Track St. Pete programming, including but not limited to: coached track sessions, group workouts, community runs, drills, conditioning, breathwork, cool-down activities, social gatherings, and any other activities organized or facilitated by Club Track St. Pete (collectively, the "Program"), at any location where sessions are held, whether at Shorecrest Preparatory School, any other current or future facility, public track, road, or outdoor space associated with the Program.

BLOCK 3 — Section 2 (Text block)

ELIGIBILITY & MEDICAL FITNESS

I confirm that:

I am at least 18 years of age.
I am physically fit and capable of participating in strenuous athletic activity, including running, sprinting, plyometric drills, and conditioning exercises.
I have not been advised by a qualified medical professional to refrain from such activity, or if so advised, I have obtained medical clearance prior to participating.
I will inform the coach before each session of any injury, illness, physical limitation, or medical condition that may affect my ability to safely participate.
I understand that the Released Parties are not medical professionals and that nothing communicated during sessions constitutes medical advice.

I authorize Club Track St. Pete staff to seek emergency medical assistance on my behalf in the event of an injury or medical emergency. I accept sole responsibility for any associated costs.

BLOCK 4 — Section 3 (Text block)

ASSUMPTION OF RISK

I fully understand that participation in the Program involves inherent risks that cannot be eliminated, even with reasonable precautions. These risks include but are not limited to:

Falls, trips, slips, and collisions with other participants.
Muscle strains, tears, sprains, joint injuries, fractures, and ligament damage.
Cardiovascular events, heat exhaustion, dehydration, and heat stroke.
Uneven or slippery track surfaces, equipment hazards, and weather conditions.
Fatigue-related injury and overexertion.
Vehicle traffic and pedestrian hazards when sessions are held on or near roads.
Contact with other participants, spectators, or third parties.
Serious injury, permanent disability, or death.

I knowingly and freely assume all such risks, whether known or unknown, foreseen or unforeseen, even where such risks arise from the negligence of the Released Parties or others. I understand that my participation is entirely voluntary and that I am solely responsible for assessing my own physical readiness before each session.

BLOCK 5 — Section 4 (Text block)

RELEASE OF LIABILITY & COVENANT NOT TO SUE

To the fullest extent permitted by applicable law, I hereby release, waive, discharge, and covenant not to sue:

Club Track St. Pete
Liquid Gold LLC
Ryan Billian (individually and in his capacity as owner, operator, and coach)
Shorecrest Preparatory School (as the current host facility)
Any current or future host facility, property owner, or venue where Program sessions are held
All coaches, volunteers, assistants, sponsors, partners, contractors, employees, agents, and affiliates associated with the Program

(collectively, the "Released Parties")

from any and all claims, demands, losses, damages, liabilities, causes of action, costs, and expenses of any kind (including attorney's fees) arising out of or in connection with my participation in the Program, whether caused by the negligence of the Released Parties or otherwise, occurring at any location associated with the Program including the track, athletic facilities, school grounds, parking lots, sidewalks, access roads, and surrounding areas.

Participation at Shorecrest Preparatory School is by permission of the school. Nothing in this Agreement shall be construed as indicating that Shorecrest Preparatory School supervises, sponsors, endorses, owns, or accepts responsibility for participant activities, safety, or conduct.

BLOCK 6 — Section 5 (Text block)

INDEMNIFICATION

I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) that arise from or relate to my participation in the Program, my breach of this Agreement, or my negligent or intentional acts or omissions, including any claims brought by third parties as a result of my conduct.

BLOCK 7 — Section 6 (Text block)

PARTICIPANT CONDUCT & SAFETY RULES

I agree to comply with all safety rules, coaching instructions, and facility regulations at all times during Program sessions. I specifically acknowledge the following traffic and safety protocol:

Lanes 1-2 are designated running lanes for all pace groups.
Lanes 3-4 are passing lanes only — used to pass another participant and then returned to lanes 1-2.
I will not engage in conduct that is unsafe, disruptive, or inconsistent with the purpose of the Program.

I understand that Club Track St. Pete reserves the right to remove any participant from a session or terminate a membership without refund if conduct is deemed unsafe, threatening, or disruptive by the coach or organizer.

BLOCK 8 — Section 7 (Text block + Checkbox field)

PHOTO, VIDEO & MEDIA RELEASE

I grant Club Track St. Pete, BillianBuilt, and Liquid Gold LLC the unrestricted right to photograph, video record, and otherwise capture my likeness, image, voice, and name during Program sessions and events.

I authorize the use of such content for any lawful purpose, including but not limited to Instagram, social media platforms, websites, promotional materials, marketing, advertising, and future event promotion, without compensation, notification, or further approval from me.

BLOCK 9 — Section 8 (Text block)

MEMBERSHIP & PAYMENT TERMS
Membership is billed monthly and includes access to all scheduled weekly sessions as posted by Club Track St. Pete.
Membership rates are subject to change. Founding Member rates are locked for active members as long as membership remains continuous and in good standing.
Membership is personal and non-transferable.
Capacity is capped based on facility access limits. Club Track St. Pete reserves the right to manage enrollment accordingly.
Cancellation takes effect at the end of the current billing cycle. No partial-month refunds.
Club Track St. Pete reserves the right to cancel or reschedule sessions due to weather, facility access, or other circumstances without liability.

BLOCK 10 — Section 9 (Text block)

INDEPENDENT STATUS

I understand that my participation in the Program does not create any employment, agency, joint venture, or partnership relationship between myself and Club Track St. Pete, Liquid Gold LLC, or Ryan Billian.

BLOCK 11 — Section 10 (Text block)

GOVERNING LAW & SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any dispute arising under this Agreement shall be resolved exclusively in the courts of Pinellas County, Florida. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

BLOCK 12 — Section 11 / Final Acknowledgment (Text block)

ENTIRE AGREEMENT & ACKNOWLEDGMENT

This Agreement constitutes the entire agreement between the Participant and the Released Parties with respect to its subject matter and supersedes all prior discussions, representations, and agreements.

BY SIGNING BELOW, I CERTIFY THAT I HAVE READ THIS ENTIRE AGREEMENT, FULLY UNDERSTAND ITS TERMS, AND AGREE TO BE BOUND BY IT. I ACKNOWLEDGE THAT I AM VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE. I AM SIGNING THIS AGREEMENT FREELY, VOLUNTARILY, AND WITHOUT DURESS.
