Mike Thacker will lead an accessible movement practice featuring the **Five Tibetan Rites**—a simple, energizing sequence suitable for all experience levels—followed by **outdoor cold plunges** guided by Löyly Sauna Lounge. WAIVER AND RELEASE AGREEMENT
Loyly Sauna Lounge, LLC
In exchange for utilizing the services of Loyly Sauna Lounge, LLC, a Texas limited liability company (“Loyly”) the undersigned acknowledges that he/she/their (“I,” or “Customer”) has read and fully understands the following terms, and knowingly assumes the risks and waives his/her/their rights concerning liability as set out below and contained within this Waiver and Release Agreement (“Agreement”).
SERVICES AND ADVICE
Loyly is in the business of providing sauna services to its customers. Services include but are not limited to cold plunges, hot tubs, saunas, infrared saunas, and other services (“Services”).
Loyly highly recommends that Customer consult a doctor and medical professional prior to using the Services.  NO INFORMATION LOYLY PROVIDES CUSTOMER WITH RESPECT TO USING THE SERVICES OR ANY ADVICE AT ALL, EVEN IF UNRELATED TO THE SERVICES, SHOULD BE CONSIDERED MEDICAL ADVICE OR RELIED UPON.  LOYLY DISCLAIMS ALL LIABILITY WITH RESPECT TO ANY BELIEF THAT CUSTOMER MAY HAVE THAT SAID INFORMATION IS MEDICAL ADVICE. 
INFRARED SAUNA AGREEMENT/ ACKNOWLEDGEMENT
Customer must consult a doctor and medical professional prior to the use of the Services.  Customer must also be aware of the following, which is a non-exhaustive list of risks and concerns that could arise by Customer’s use of the Services:
The use of drugs, medication, or alcohol prior to or during the Services may lead to dizziness or unconsciousness, among other risks. As a condition of utilizing the Services of Loyly, Customer acknowledges and voluntarily assumes all risks of injury and death. 
The user of medications, narcotics, drugs, alcohol, and other substances increase the risk of injury and death while using the Services.  
No one under the age of eighteen (18) is permitted within Loyly’s property and not permitted to use the Services absent a legal parent or guardian. 
Customer shall discontinue the use of the Services if Customer feels light-headed, dizzy, uncomfortable, unwell, sick, experiences the symptoms of heat exhaustion, hypothermia, or any other sensation.
Sauna sessions must be limited to no more than forty (40) minutes and temperatures must stay below 170 degrees Fahrenheit.
Pregnant women should consult their physician prior to use of the Services.
It is always important to maintain proper hydration levels before, during, and after infrared sauna therapy and the user of Services. Loyly highly recommends drinking a minimum of eight (8) ounces of water prior to and following sessions.
Customer Code of Conduct, Cancellations and Late Arrival Policy
Customer understands and agrees to the following:
If Customer is late for an appointment, time will be deducted from Customer’s session.
If I book an appointment and am unable to make it, I must call to cancel within two hours of the scheduled time.
“Late cancellations” will result in a $25 late cancellation fee and will be charged to your card on file.
“No shows” will result in a $25 no-show fee and will be charged to the card on file.
All guests are limited to one 45 min sauna session per day maximum. 
No inappropriate behavior or activities will be tolerated. Guests may be asked to leave without a refund at any time. You will comply with the terms of your agreement with us. No form of harassment, bullying, discrimination or threatening, malicious or abusive language or conduct will be tolerated towards our staff, visitors, other customers or service providers. You will treat such persons with fairness, integrity, dignity and respect. You will respect the values, beliefs, cultures and religions of such persons. You will comply with all reasonable instructions given by our employees during your time at Loyly including not using your phone in contrast therapy area or using disruptive, loud, or profane language. We will do everything we can to make these instructions clear. Loyly employees will communicate when these rules of service have been violated, attempt resolution, and reserve the right to refuse entry and service to Loyly Sauna Lounge.
Loyly is not responsible for lost or stolen personal items. Every person is provided with a locker with a lock and key to store personal belongings.
Guests are required to wear bathing suits during their sessions at Loyly. No public nudity is allowed.
DAMAGE FEE
If I cause damage to any Loyly property including, without limitation, physical damage, water damage, damage due to harmful substances or odors, or damage from bodily fluids other than perspiration, I will be required to pay a damage fee which will be charged to my card on file.
Right to Refuse Service and No Refund Policy
Loyly and Loyly Parties reserve the unilateral right to deny access, refuse service, or prohibit the use of its facilities to any Customer, person, or persons at any time for any reason or for no reason at all, subject to applicable laws and regulations.
Nothing in this Agreement shall permit or empower the Loyly and Loyly Parties to refuse service on the grounds that are unlawful or discriminatory under applicable federal, state, or local laws.
IN THE EVENT THAT SERVICE IS REFUSED OR ACCESS IS DENIED PURSUANT TO THIS CLAUSE, NO REFUNDS SHALL BE ISSUED FOR ANY PAYMENTS, DEPOSITS, OR FEES PAID IN ADVANCE FOR THE SERVICES OR USE OF LOYLY’S FACILITIES.
By entering Loyly’s premises or utilizing its Services, Customer acknowledges and agrees to abide by this Right to Refuse Service and No Refund Policy and understands that any violation may result in immediate termination of services and expulsion from the premises, without refund or recourse.
WAIVER OF LIABILITY AND ASSUMPTION OF RISK
In exchange for utilizing the services and facilities of Loyly and/or entering on Loyly’s premises, I expressly agree to the following:
I acknowledge and voluntarily assume the risk of injury, accident, or death, which may arise from utilizing Loyly’s services and premises including, among other things, the use of an infrared sauna, cold plunge, and hot tub. I acknowledge that there are certain risks inherent to the use of infrared saunas, cold plunge, and hot tubs, and I voluntarily assume those risks. 
INDEMNIFICATION AND RELEASE OF CLAIMS
To the maximum extent permitted by applicable law, I and any of my heirs, executors, administrators, estate, representatives, guardians, agents, employer, or assigns hereby forever hold harmless and release Loyly, and each of their respective, owners, officers, employees, parent companies, subsidiaries, independent contractors, contractors, directors, shareholders, agents, and representatives from all claims, demands, lawsuits, or liabilities, INCLUDING NEGLIGENCE arising in connection with my utilization of Loyly’s services and premises. I agree that this Consent Form and Waiver of Liability will remain in effect during all such times as I utilize Loyly’s services and premises, including for all future infrared sauna, cold plunge, and hot tub sessions. In addition, I agree that Loyly is responsible for any damage to any personal property brought to the Loyly premises, or for lost or stolen items used inside   the Loyly premises and, to the maximum extent permitted by applicable law, I and any of my heirs, executors, representatives, or assigns hereby forever hold harmless and release Loyly and each of their respective, owners, officers, employees, agents and representatives from any liability, INCLUDING NEGLIGENCE, in connection with such property loss or damage.
Limitation of Liability for Criminal Activity
Notwithstanding any other provision in this Agreement or otherwise, Loyly, along with its officers, directors, employees, agents, subsidiaries, affiliates, contractors, and suppliers (collectively referred to as “Loyly Parties”), shall not be responsible or liable, either jointly or severally, for any criminal activities, unlawful acts, or misconduct committed by any third party, including but not limited to clients, guests, contractors, customers, or other individuals on the premises.
Customer acknowledges and agrees that Customer assumes all risks associated with entering and utilizing Loyly's Services and facilities, including any risk of becoming a victim of criminal activity.
Customer agrees to indemnify, defend, and hold harmless the Loyly Parties from any and all claims, liabilities, damages, and/or costs (including, but not limited to, legal fees) arising from or related to any criminal activities that may occur on the premises.
Nothing in this clause shall relieve Loyly of its legal obligations to report suspected criminal activity to the relevant authorities as required by law.
NON-DISPARAGEMENT
If Customer experiences a problem, concern, complaint, or issue, Loyly respectfully asks that you address it with management and Loyly ownership. We welcome feedback, but would like the opportunity to address it directly with Customer instead of a public forum. For purposes of this section, “disparage” shall mean any negative statements, reviews, comments, or feedback, whether written or oral, whether truthful or untruthful about Loyly or Services provided by Loyly (“Disparaging Review”).  Customer agrees for the duration of this Agreement and for five (5) years after this Agreement has been signed, Customer will not disparage Loyly, including but not limited to, leaving any negative review or posting on Loyly’s Facebook page, Google page, BBB portal, any other company social media pages, or written online or in print that mentions Loyly and/or Loyly Parties. Loyly and Customer agree that it would be impracticable and extremely difficult to ascertain the amount of damages caused by Customer’s failure to comply with this provision.  Customer agrees that such Disparaging Reviews are harmful to Loyly and Customer agrees to compensate Loyly $1,500.00 for each and every Disparaging Review. Further, Customer shall compensate Loyly $250 per day that each Disparaging Review remains posted and visible to the public or third parties.  
If Loyly must retain an attorney to send a demand letter for the removal of a Disparaging Review, then Customer shall also be liable and responsible for attorney fees of $2,500.00 per demand letter sent to Customer for the removal of any Disparaging Review.  Customer agrees to pay any such demand for Disparaging Reviews and attorney fees within seven (7) business days after Loyly or its Attorney has made a demand for such payment and/or removal of Disparaging Reviews.  
GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of the State of Texas applicable to contracts made and fully performed within and brought in Houston, Texas. 
DISPUTE RESOLUTION
If a dispute arises under this Agreement, the parties agree to first try to resolve the dispute with the help of a mutually agreed-upon mediator in Harris County, Texas.  Any costs and fees other than attorney fees associated with the mediation shall be shared equally by the parties. If it proves impossible to arrive at a mutually satisfactory solution through mediation, the parties agree to submit the dispute to a mutually agreed-upon arbitrator in Harris County, Texas.  Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction to do so.  Costs of arbitration, including attorney fees, will be allocated by the arbitrator.
LIQUIDATED DAMAGES
Customer’s damages if a lawsuit or arbitration is brought shall be exclusively limited to the amount of money paid to Loyly for the Services related to the alleged incident.  In no event shall Customer’s total damages, including attorney fees, exceed one thousand dollars ($1,000).  
COVID WAIVER AND ACKNOWLEDGEMENT
I acknowledge also the contagious nature of COVID-19 and voluntarily assume the risk that I may be exposed to COVID-19 by using Loyly’s facilities or services, and that such exposure may result in illness, permanent or temporary disability, or death. I understand that the risk of becoming exposed to COVID-19 at Loyly may result from the actions, omissions or negligence of myself and others, including, but not limited to, Loyly staff and employees.
I voluntarily agree to assume all of the foregoing risks and accept full responsibility for any injury or illness to myself. I hereby release, covenant not to sue, discharge and hold harmless Loyly and each of their respective, owners, officers, employees, agents, and representatives, of and from any and all claims, including all liabilities, claims, actions, damages, costs or expenses, INCLUDING NEGLIGENCE, relating to my utilization of Loyly’s services or premises. I understand and agree that the release above includes any claims related to COVID-19 exposure or infection based on the actions, omissions, or NEGLIGENCE of Loyly, its employees, agents and representatives, whether a COVID-19 infection occurs before, during, or after use of the studio.
I understand and agree that the laws of the State of Texas will apply to this contract.
I HAVE CAREFULLY READ AND FULLY UNDERSTAND AND AGREE TO ALL PROVISIONS OF THIS RELEASE, AND FREELY AND KNOWINGLY ASSUME THE RISK AND WAIVE MY RIGHTS CONCERNING LIABILITY AS DESCRIBED ABOVE:
