THIS WAIVER AND RELEASE OF LIABILITY (the "Agreement") is made as of this 30th day of March, 2026, by and between:
Cool Down LLC and Duel Day LLC (hereinafter collectively referred to as the "Organizer"),
and
The participating gyms, sponsors, vendors, exhibitors, promotional partners, volunteers, and McGregor Square entities associated with the Event (collectively, the "Event Partners").
IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A RELEASE OF LIABILITY AND WAIVER OF LEGAL RIGHTS. PLEASE READ CAREFULLY BEFORE SIGNING.
By signing this Agreement, the undersigned participant (hereinafter referred to as the "Participant") acknowledges, understands, and agrees to the following:
Event Description
The Participant is voluntarily participating in a fitness competition and race event (the "Event") hosted by the Organizer, which starts and finishes at McGregor Square in Denver, Colorado. The Event does not have a fixed or closed course. Participants will navigate through public streets in Denver to various participating gyms and locations.
The Event will take place on open public roads with normal vehicle traffic. The Participant is solely responsible for their own transportation, navigation, safety, and compliance with all applicable traffic laws and regulations while traveling between Event locations.
The Participant acknowledges that participating gyms are independent entities and are not responsible for the Participant’s transportation, supervision, medical care, or personal safety during the Event.
The Organizer reserves the right to modify, shorten, reroute, postpone, or cancel the Event, checkpoints, gym locations, or Event operations at any time due to weather, safety concerns, governmental orders, emergencies, operational needs, or any circumstances beyond its control.

Assumption of Risk
The Participant acknowledges and understands that participation in the Event involves inherent and significant risks, including but not limited to:
Injury or death due to vehicle traffic
Road, sidewalk, weather, and environmental conditions
Physical exertion, fatigue, dehydration, illness, or medical conditions
Actions or negligence of other participants, pedestrians, drivers, spectators, vendors, or third parties
Risks associated with gym equipment, fitness activities, or exercise
Exposure to communicable illnesses, including but not limited to COVID-19, influenza, or other contagious diseases
The Participant understands that these risks may arise from the Participant's own actions or inactions, the actions or inactions of others, the condition of the premises or roadways, weather, equipment, or the NEGLIGENCE OF THE RELEASED PARTIES.
The Participant acknowledges participation is voluntary and knowingly and freely assumes all risks, both known and unknown, even if arising from the NEGLIGENCE OF THE RELEASED PARTIES or negligent rescue operations.
Waiver and Release of Liability
To the fullest extent permitted by law, the Participant hereby releases, waives, discharges, and covenants not to sue:

Sponsors, vendors, exhibitors, advertisers, and promotional partners
McGregor Square Operations, LLC
McGregor Square Residential, LLC
McGregor Square Office, LLC
McGregor Square Hotel, LLC
McGregor Square Amenities, LLC
West Lot LLC
West Lot Holdings, LLC
Rockies West Lot, LLC
Colorado Rockies Baseball Club, Ltd.
Denver Metropolitan Major League Baseball Stadium District
and each of their respective parent companies, subsidiaries, affiliated entities, owners, officers, directors, employees, contractors, volunteers, agents, representatives, successors, and assigns (collectively, the "Released Parties"),
from any and all claims, demands, causes of action, liabilities, damages, losses, costs, or expenses of any kind whatsoever, including attorneys' fees, arising out of or related to participation in the Event, INCLUDING CLAIMS ARISING FROM THE NEGLIGENCE OF THE RELEASED PARTIES.
The Participant expressly acknowledges and agrees that the participating gyms and fitness facilities are merely providing access to their premises and/or equipment as part of the Event and shall not be responsible or liable for any injury, death, illness, damage, loss, delay, accident, theft, negligence, property damage, transportation incident, or other harm arising out of or related to the Participant’s attendance at, travel to or from, presence at, or participation in any activities associated with the Event.
The Participant understands and agrees that all participation is undertaken solely at the Participant’s own risk and that the Participant assumes full responsibility for their conduct, safety, physical condition, transportation, use of equipment, and actions during the Event.
The Participant further agrees that no participating gym, trainer, coach, instructor, employee, contractor, or facility owner shall have any duty to supervise, monitor, control, or ensure the safety of any Participant during the Event.
Indemnification
The Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, or expenses, including attorneys' fees, arising out of or related to:

The Participant's conduct during the Event
Any breach of this Agreement by the Participant


Compliance with Laws and Rules
The Participant agrees to comply with:
All applicable local, state, and federal laws
All traffic laws and regulations
All rules, instructions, and guidelines issued by the Organizer
All safety requirements communicated before or during the Event
The Participant understands that streets will remain open and agrees to exercise caution around vehicles, cyclists, and pedestrians at all times.
The Participant represents that they will not participate while under the influence of drugs or alcohol to the extent their ability to safely participate is impaired.
The Organizer reserves the right to disqualify, deny participation to, or remove any Participant deemed unsafe, impaired, disruptive, noncompliant, harassing, or otherwise dangerous to themselves or others, without refund.
Medical Consent
The Participant represents that they are physically and mentally capable of safely participating in the Event.
In the event of injury, illness, or emergency, the Organizer may, but is not obligated to, arrange medical treatment or emergency services for the Participant.
The Participant consents to such care and agrees to be solely financially responsible for any related medical costs, transportation costs, or treatment expenses.
No Refund Policy
All registrations and purchases are final. No refunds, credits, or transfers will be issued for any reason, including but not limited to cancellation, withdrawal, injury, weather, scheduling conflicts, route changes, or Event modifications.
Photography and Media Release
The Participant grants the Released Parties a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use the Participant's name, image, likeness, voice, photograph, video footage, and biographical information in any media format, whether now known or later developed, including social media, advertising, promotional materials, livestreams, broadcasts, and commercial content, for any lawful purpose without compensation or further notice.
Personal Data Release
The Participant hereby grants permission to the Organizer to share the Participant's name, phone number, email address, and Event-related information with participating gyms, sponsors, vendors, and promotional partners for purposes directly related to the Event, including but not limited to:
Event communications
Promotional offers
Marketing communications
Post-event follow-ups
Sponsor activations
The Participant understands and agrees that by providing this information, they are consenting to its disclosure to such Event Partners.
Personal Property
The Released Parties are not responsible for the loss, theft, or damage of any personal property belonging to the Participant before, during, or after the Event.
Eligibility
Participants must be at least eighteen (18) years of age on the date of the Event.
Miscellaneous


If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or understandings.
The Participant agrees to pay reasonable attorneys' fees and costs incurred by the Released Parties in enforcing this Agreement.
This Agreement is binding upon the Participant and their heirs, family members, executors, administrators, assigns, and personal representatives.
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado.
Any legal action arising out of or related to this Agreement or the Event must be brought individually and not as part of a class action.
Exclusive venue for any legal action shall be the state or federal courts located in Denver County, Colorado.

Sponsors and Event Partners
Sponsors, vendors, exhibitors, advertisers, and promotional partners may be added before the Event and shall be considered Released Parties under this Agreement.
Acknowledgment of Understanding
The Participant acknowledges that they have carefully read this Agreement, fully understand its terms, understand that they are giving up substantial legal rights, including the right to sue, and sign this Agreement freely and voluntarily without inducement.
