WAIVER AND RELEASE OF LIABILITY 
In connection with my participation in certain activities (“Activities”) arranged and/or organized by STAY FIT 305, LLC, a Florida limited liability company, and each of their affiliates, members, managers, employees, volunteers, activity holders, sponsors, attorneys, agents, representatives, subsidiaries, partners, members, controlling persons, successors and permitted assigns (collectively, “Company”): 
I HEREBY VOLUNTARILY, FREELY AND EXPRESSLY ASSUME ALL OF THE RISKS OF PARTICIPATING IN ALL ACTIVITIES COVERED HEREUNDER, which may include but are not limited to personal injury, damage to property and/or death, which may arise, by way of example, from (i) the negligence or carelessness on the part of the Company; (ii) dangerous or defective equipment or property owned, maintained or controlled by the Company; (iii) Company’ possible liability without fault; or (iv) risks caused by terrain, facilities, temperature, weather, condition of participants, equipment, vehicular traffic, lack of hydration and actions of other people including but not limited to participants, volunteers, monitors and/or producers of the Activities. I agree to observe and obey all posted rules and warnings and follow any instructions or directions given by the Company with respect to my participation in the Activities. 

I represent and warrant that (i) I am physically fit; (ii) I have sufficiently prepared or trained for participation in the Activities; (iii) I have not been advised to not participate by a qualified medical professional; and (iv) there are no health-related reasons or problems which preclude my participation in the Activities. I acknowledge and agree that the Activities may involve a test of a person’s physical and mental limits and I hereby consent to receive medical treatment which may be deemed advisable in the event of injury, accident and/or illness during the Activities. 

I HEREBY WAIVE, RELEASE, DISCHARGE, INDEMNIFY, HOLD HARMLESS AND PROMISE NOT TO SUE COMPANY from, against and for any and all claims, damages, expenses and liability, including but not limited to attorneys’ fees, arising from my death, disability, personal injury, property damages, property theft or actions of any kind which may hereafter occur to me in connection with my participation in the Activities, including my traveling to and from the Activities, whether caused in whole or in part by the negligence or fault of Company or otherwise (“Claims”). I further acknowledge and agree that Company is not responsible for the errors, omissions, acts or failures to act of any party or entity conducting specific Activities on the Company’ behalf. Should any such suit or action at law or otherwise be instituted against any of Company, I agree that such Company shall be entitled to recover attorneys' fees and costs incurred in defense of such suit or action, including any appeals therefrom.

I further acknowledge and agree that in connection with any interviews, photographs, videos or images taken, created, or used in connection with the Activities, I hereby grant permission to the Company to reproduce, distribute, exhibit, display, perform, exploit and otherwise use my name, photograph, likeness, image, voice and biographical information (collectively, the “Materials”), or to refrain from so doing, throughout the world, in any media now known or hereafter devised, in perpetuity, in and in connection with any content, advertising, promotional, publicity and other materials related to the Company or the Activities including, but not limited to, social networks, blogs, and other online print or media. I hereby expressly release the Company, from and against any and all claims which it has or may have for invasion of privacy, right of publicity, defamation, copyright infringement or any other causes of action arising out of the use, adaptation, reproduction, distribution, display, broadcast, performance, or exhibition of the Materials in accordance with the terms hereof. 
I further acknowledge and agree that (i) this Release will be used by the holders, sponsors and organizers of the Activities covered hereunder, and will govern my actions and responsibilities in connection with my participation; (ii) if I institute or anyone on my behalf institutes any Claims against Company, this Release can and will be used as evidence in court, and releases like this one have been upheld in courts in similar circumstances; and (iii) the maximum aggregate liability of the Company as a result of any Claims instituted by me or any person on my behalf shall not exceed the price at which I paid for a ticket to gain entry to the Activities covered hereunder. 

This Release and all questions of interpretation, construction and enforcement hereof, and all controversies arising hereunder, shall be governed by the applicable statutory and common law of the State of Florida. Venue for any legal proceedings shall be in Miami-Dade County, Florida. I hereby irrevocably waive my right to a trial by jury. In the event any term or provision hereof shall be judicially determined to be unenforceable, the remaining terms and provisions shall remain in full force and effect. I acknowledge and agree that (i) the terms and conditions of this Release shall continue in full force and effect now and in the future at all times during which I participate, directly or indirectly, in the Activities; and (ii) this Release shall be binding upon my heirs, executors, administrators, personal representatives, next of kin, successors, assigns and/or anyone else claiming on my behalf. 						

 TICKET DISCLAIMER
In connection with the Ticket Holder’s participation in certain activities (“Activities”) arranged and/or organized by STAY FIT 305, LLC, a Florida limited liability company, and each of their affiliates, members, managers, employees, volunteers, activity holders, sponsors, attorneys, agents, representatives, subsidiaries, partners, members, controlling persons, successors and permitted assigns (collectively, “Company”), the ticket purchaser/holder (“Ticket Holder”)  agrees to the following:  
By use of this ticket, Ticket Holder agrees: (a) that the Company shall have the unrestricted right and license to reproduce, distribute, exhibit, display, perform, exploit and otherwise use the Ticket Holder’s name, photograph, likeness, image, voice and biographical information (collectively, the “Materials”), or to refrain from so doing, throughout the world, in any media now known or hereafter devised, in perpetuity, in and in connection with any content, advertising, promotional, publicity and other materials related to the Company or the Activities including, but not limited to, social networks, blogs, and other online print or media; and (b) to hereby expressly release the Company, from and against any and all claims which it has or may have for invasion of privacy, right of publicity, defamation, copyright infringement or any other causes of action arising out of the use, adaptation, reproduction, distribution, display, broadcast, performance, or exhibition of the Materials in accordance with the terms hereof. 
The Ticket Holder, on behalf of himself or herself and on behalf of any minor accompanying Ticket Holder to the event: (a) voluntarily assumes all risks incidental to the event, including, without limitation, the risk of lost, stolen or damaged property or personal injury; (b) waives, releases, and discharges the Company from any and all negligence and liability for Ticket Holder’s death, disability, personal injury, property damages, property theft or claims of any nature which may accrue to Ticket Holder as a direct or indirect result of Ticket Holder’s participation in the above referenced event; (c) agrees that the Company, its processors and agents assume no legal, financial or other liability whatsoever for any lost, stolen, destroyed or mislaid Tickets, and assumes 100% risk of loss relating to the Tickets, including any risks of loss associated with lost, stolen, mislaid, or destroyed Tickets; and (d) agrees to defend, indemnify, and hold harmless the Company, its agents, employees and contractors from and against any and all claims, suits, damages, and liabilities of any nature including all costs, expenses and attorneys’ fees, which in any manner result from Ticket Holder’s attendance and/or actions during this event. 
The Company may revoke this license and eject or refuse entry to the Ticket Holder for violation of venue rules, illegal activity, misconduct or failure to comply with any and all security measures without refund or any portion of the ticket price. Weapons, missiles, fireworks, contraband, and artificial noisemakers and containers of any kind are prohibited on event property. Ticket Holder consents to reasonable examinations and searches to ensure compliance with laws and event rules and acknowledges that illegal substances are not permitted on event premises.
The Ticket Holder voluntarily assumes all risks associated with the purchase of this ticket from anyone other than the Company or its designated agents. This ticket may not be used for advertising, promotion (including contests or sweepstakes), or other trade or commercial purposes without the express prior written consent of the Company.
