Flock Run — presented by We FLOCKIN LLC.

This Participant Waiver, Release of Liability, Assumption of Risk, and Media Release ("Release") is entered into by and between We FLOCKIN LLC, a limited liability company ("Company," "we," or "us"), and the individual registering for this event ("Participant," "I," or "me"), in connection with Participant's registration for and attendance at Flock Run, including all associated activities such as the run/walk, warm-up and cooldown activities, recovery lounge, spectator areas, and any affiliated concert, performance, or social gathering (collectively, the "Event"). By registering and checking the box below (electronic signature), Participant agrees to be bound by all terms of this Release.

1. ASSUMPTION OF RISK
I understand that participation in the Event involves inherent risks, including but not limited to: physical exertion, running or walking on public or private roads, sidewalks, trails, or uneven or slippery surfaces; exposure to traffic, other participants, spectators, and animals; weather conditions including heat, cold, and precipitation; crowded venue conditions, loud music, and pyrotechnics or special effects associated with any live performance; and the acts or omissions of other participants, spectators, performers, or third parties. I understand these risks can result in serious personal injury, illness, permanent disability, property damage, or death.

I voluntarily choose to participate in the Event with full knowledge of these risks, and I expressly and voluntarily assume full responsibility for any and all risks of injury, illness, damage, or loss, whether foreseen or unforeseen, that may arise from or relate in any way to my participation.

2. RELEASE AND WAIVER OF LIABILITY
To the fullest extent permitted by law, I, on behalf of myself and my heirs, executors, administrators, assigns, and personal representatives, hereby release, waive, discharge, and covenant not to sue We FLOCKIN LLC and its owners, members, managers, officers, employees, agents, contractors, volunteers, sponsors, partners, and affiliates, together with the owners and operators of any venue used for the Event, any performing artists or their representatives, and any co-promoters or event partners (collectively, the "Released Parties"), from any and all claims, demands, losses, liabilities, damages, costs, or expenses of any kind arising out of or related to my participation in the Event, including claims based on the negligence of the Released Parties, to the maximum extent permitted by applicable law.

This Release does not waive claims arising from the gross negligence, willful misconduct, or intentional acts of the Released Parties, to the extent such a waiver is prohibited by applicable law.

3. INDEMNIFICATION
I agree to indemnify and hold harmless the Released Parties from any and all claims, actions, or liabilities (including reasonable attorneys' fees) brought by any third party as a result of my acts or omissions while participating in the Event.

4. MEDICAL CONDITION AND AUTHORIZATION FOR EMERGENCY CARE
I represent that I am physically fit and have no medical condition that would prevent my safe participation in the Event, or I have consulted a physician and been cleared to participate. I authorize the Released Parties, event medical staff, or emergency responders to arrange for or administer emergency medical treatment if I am unable to communicate my wishes, and I accept financial responsibility for any such treatment.

5. PHOTO, VIDEO, AND CONTENT RELEASE
I grant We FLOCKIN LLC and its designees a perpetual, worldwide, royalty-free, irrevocable, and transferable right and license to record, photograph, film, and otherwise capture my name, voice, image, likeness, and appearance (collectively, "Content") while I am participating in or attending the Event, and to edit, reproduce, publish, distribute, broadcast, and otherwise use such Content, in whole or in part, in any and all media now known or later developed, for any purpose, including promotional, marketing, advertising, editorial, archival, and commercial purposes related to the Event, Flock Run, We FLOCKIN LLC, and any of its sponsors, partners, or affiliated brands (including Sweatpals and other platform or promotional partners).

- I understand this Content may be used across social media, websites, email marketing, press materials, paid advertising, and future event promotion.
- I waive any right to inspect or approve the finished Content or the use to which it may be applied, and I waive any right to royalties or other compensation arising from its use.
- I release the Released Parties from any claims relating to the use of such Content, including any claims for defamation, invasion of privacy, or infringement of any right of publicity.

If Participant does not wish to be photographed or filmed, Participant should notify event staff upon arrival and make reasonable efforts to avoid designated recording areas; however, given the public and open nature of the Event, Company cannot guarantee exclusion from incidental or background Content.

6. RULES AND CODE OF CONDUCT
I agree to follow all instructions from Event staff, security, and volunteers, to comply with venue rules, and to conduct myself in a manner that does not endanger myself or others. Company reserves the right to remove any participant from the Event for unsafe or disruptive conduct without refund.

7. GOVERNING LAW AND SEVERABILITY
