PLEASE READ CAREFULLY. BY SIGNING THIS WAIVER AND RELEASE OF LIABILITY, VOLUNTARY ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT, YOU ARE CONSENTING TO THE WAIVER AND RELEASE OF CERTAIN LEGAL RIGHTS AS SET FORTH IN THIS AGREEMENT.
WAIVER AND RELEASE OF LIABILITY, VOLUNTARY ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT
I, ____________________________, being over the age of eighteen, as a participant and/or a parent or legal guardian of ____________________________, a minor child participant (the “Minor Child”), and/or on my own behalf or the Minor Child’s behalf, as applicable (the “Participant”), for and in consideration of Participant’s (a) participation in and use of any of the cold plunges, saunas, showers, red light therapy, and other services oCered by Soft Sand LLC, a California limited liability company d/b/a Likeminded wellness studio (“Studio”) and use of equipment supplied or used therewith (collectively, the “Services”) located at 116 Washington Blvd, Marina Del Rey, CA 90292 (the “Premises”), and (b) being permitted to enter onto the Premises (such participation in the Services and entry into the Premises, collectively, “Participation”), to the fullest extent permitted by applicable laws, hereby enter this WAIVER AND RELEASE OF LIABILITY, VOLUNTARY ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT ( the “Agreement”).
1. CERTAIN ACKNOWLEDGMENTS AND REPRESENTATIONS.
(a) Risks. I fully understand that Participation represents a test of physical and mental limits, and involves known and unknown risks that are beyond the control of the Released Parties (defined below), and that may not be reasonably foreseeable at this time, including but not limited to risks associated with exposure to extreme heat, cold, light, and water; infectious and/or communicable diseases including COVID 19 and its variants; and other conditions, that may result in serious bodily injury, including but not limited to cardiac incidents, heart attacks, muscle strains, burns, hypothermia, dizziness, illness, other physical conditions, paralysis; permanent disability; and death. I am aware that these risks

may result from my own actions or inactions, the actions or inactions of others, or the negligence of the Released Parties (defined below).
(b) Good Health; No Known Contra-indications. I represent that Participant is, and shall at all times whenever participating in the Services or entering the Premises, will be: (a) in good health and physically capable of Participation; and (b) free from physical conditions, medications, alcohol, drugs, or other substances that may affect Participant’s ability to safely participate in the Services. I or Participant will immediately advise a Studio representative of any unsafe condition observed, and Participant will refuse any Participation until all such unsafe conditions have been remedied.
2. ASSUMPTION OF RISK. I, personally and on behalf of Participant, voluntarily assume all risks of personal injury, including death, and/or damage to or loss of property, arising out of or related to Participant’s Participation.
3. RELEASE OF LIABILITY. I, personally and on behalf of Participant, release and forever discharge Studio and its affiliates, parent entities, and subsidiaries, and their respective officers, directors, managers, employees, volunteers, agents, insurers, property owners, and any other related parties (collectively, the “Released Parties”), from any and all claims, causes of action, liabilities, damages, costs, and expenses, known or unknown, existing now or in the future, that I, Participant, or Participant’s spouse, parents, heirs, assignees, next of kin, estate, and/or legally appointed or designated representatives (collectively, “Releasing Parties”) may now or hereafter have against the Released Parties arising out of or related to (a) Participant’s Participation, including those arising from the negligence of the Released Parties, whether passive or active, to the fullest extent allowed by law; or (b) any first aid, medical care, dental care or other treatment and medications provided or arranged for by the Released Parties under Section 9 hereof. (collectively, the “Released Claims”).
4. COVENANT NOT TO SUE. I, personally and on behalf of Participant agree that Releasing Parties shall not commence, maintain or continue any action or proceeding (including arbitration) against any of the Released Parties based upon any of the Released Claims released above.
5. WAIVER OF CIVIL CODE SECTION 1542. I, personally and on behalf of Participant hereby expressly waive and relinquish all rights and benefits afforded by California Civil Code Section 1542, and do so understanding and acknowledging the significance of this specific waiver of Section 1542. Section 1542 states as follows:
“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN

BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
6. KNOWING AND VOLUNTARY WAIVER AND RELEASE. I acknowledge with respect to every waiver and release I am giving hereunder, that I have so waived and released knowingly and voluntarily.
7. INDEMNIFICATION. I, personally and on behalf of Participant, further agree to indemnify, defend, and hold each of the Released Parties harmless from and against any Released Claims including, but not limited to, all attorneys’ fees, costs, and disbursements through trial and any appeal(s).
8. SEVERABILITY. If any provision of this Agreement is held to be invalid, void, contrary to law, or unenforceable, such provision shall, but only to the extent necessary to bring this Agreement within the requirements of applicable law, be deemed severable from the other terms and provisions of this Agreement, and the remainder of this Agreement shall remain in full force and effect.
9. MEDICAL CARE. If Participant becomes injured or ill in connection with the Participation, I hereby authorize the Released Parties to administer, or cause and consent to the administration of, whatever first aid, medical care, dental care or other treatment and medications as may be necessary under the circumstances, including treatment by a physician, dentist or hospital (collectively, “Medical Care”), although I hereby acknowledge that the Released Parties have no obligation to do so and that the Released Parties do not endorse the services of any healthcare provider or facility that may treat Participant. I understand that I will be financially responsible for the cost of any such Medical Care and that the Released Parties will have no obligation to pay any such costs. I agree that in the event any Released Party pays for any Medical Care in connection with Participant’s Participation, I will promptly reimburse Released Parties for the full cost.
10. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement and understanding between Studio and myself regarding the subject matter hereof and supersedes any prior statements, agreements or representations (written or oral) regarding the same.
11. GOVERNING LAW. This Agreement shall be governed by and interpreted under the laws of the State of California, without regard to its conflict of laws principles.
12. AGE AND CAPACITY. I HAVE CAREFULLY READ THIS DOCUMENT, AND I KNOW AND UNDERSTAND WHAT IT MEANS. MY SIGNATURE BELOW IS MY OWN FREE ACT, AND I INTEND IT TO BE LEGALLY BINDING ON ME, PARTICIPANT, AND THE RELEASED PARTIES. I CERTIFY THAT I AM AT OVER 18 YEARS OF AGE, THAT I AM THE PARENT OR LEGAL GUARDIAN OF THE MINOR CHILD, AND THAT I HAVE LEGAL CAPACITY TO SIGN THIS AGREEMENT.
