WAIVER OF LIABILITY
for XYMOGYM’S “HAUS & WELLNESS” EVENT
This Waiver of Liability for XYMOGYM’s Haus & Wellness Event (the “Waiver”) is a legally-binding document expressly waiving the rights of the below signed (the “Participant”), who certifies to being at least eighteen (18) years of age and of sound mind and body at the time this Waiver is signed. XYMOGYM’s Haus & Wellness Event (the “Event”), which will be hosted by XYMOGYM, LLC (the “Host”) at the following address: 6800 Kingspointe Parkway, Suite 600, Orlando, FL 32819, is scheduled for 10:00 AM until 1:00 PM on the thirty-first (31st) day of the month of January of the year 2026. Your participation is completely voluntary and at your own risk. This Waiver is valid as of the below date and will continue in full force and effect until 11:59:59PM on the day of the Event. Please read, then initial next to, each of the following statements:
1.
I comprehend that the terms and conditions defined and described in this Waiver (the “Terms”) constitute a substantial waiver of my rights; I do willingly waive such rights with full knowledge and appreciation of the consequences.
2.
I comprehend that this Event may be a potentially hazardous activity that puts me at risk of sustaining damages, injuries, and/or losses to my person and/or property; I declare that I have (i) asked meaningful questions about the potential risks, and, after considering the answers, (ii) decided to willingly assume such risks with full appreciation of the consequences.
3.
I comprehend that it is my sole responsibility to, not only be familiar with what is expected of me as a participant in the Event, but to also know the limits of my physical abilities as they relate thereto; I declare that, to the best of my knowledge, I am both physically sound and suffering from no condition, impairment, disease, infirmity, and/or other illness that would prevent, or should prevent, me from participating in the Event.
4.
If the Host, in its sole discretion, determines that I require immediate medical attention (“Attention”), I do hereby consent to receiving such Attention; if rendering safe and effective Attention requires the release of my health-related information, I do hereby authorize the Host to release such information according to any applicable laws and regulations. If the Host does not think Attention is necessary, I do hereby agree to seek medical consultation on my own accord based on my perceived medical need. In either instance, I do hereby expressly agree to be fully liable for any costs associated with receiving the Attention and/or medical consultation.
5.
I comprehend that any third-party vendors (the “Vendors”) present and/or participating in the Event are wholly separate and independent entities that are in no way, shape, or form owned, operated, controlled and/or directed by the Host, regardless of any marketing and/or cross-marketing initiatives that may occur, or have occurred, for which the Host may have been directly or indirectly involved; I do hereby agree not to hold, or attempt to hold, the Host liable for any damages, injuries, and/or losses I sustain to my person and/or property while engaging with the Vendors.
6.
On behalf of myself and, as applicable, my family members, I do hereby consent to being photographed and/or recorded (“Content”). As it relates thereto, I do hereby (i) relinquish any ownership rights I might have to the Content; (ii) grant the Host the unlimited, exclusive, irrevocable, sublicensable, and transferable right (non-exhaustive list) to reproduce, in any medium, the Content for the purposes of publication, promotion, illustration, and/or advertising; and (iii) release the Host from any and all claims and liabilities relating to, connected with, or arising out of the Content.
7.
ON BEHALF OF MYSELF AND MY HEIRS, SUCCESSORS, ASSIGNEES, EXECUTORS, ADMINISTRATORS, REPRESENTATIVES, AND ANY OTHER INDIVIDUALS AND/OR ORGANIZATIONS WHO HAVE, OR MIGHT HAVE, A RIGHT AND/OR INTEREST IN ACTING ON MY BEHALF (COLLECTIVELY, THE “INDEMNIFYING PARTIES”), I DO HEREBY INDEMNIFY, DEFEND, AND HOLD HARMLESS THE HOST AND ITS OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, INTERNS, VOLUNTEERS, CONTRACTORS, AFFILIATES, REPRESENTATIVES, AND AGENTS (NON-EXHAUSTIVE LIST) (COLLECTIVELY, THE “INDEMNIFIED PARTIES”) FROM AND AGAINST ANY AND ALL CLAIMS, INCLUDING FOR NEGLIGENCE, MADE BY THE INDEMNIFYING PARTIES FOR ANY DAMAGES, INJURIES, AND/OR LOSSES I MIGHT SUSTAIN TO MY PERSON AND/OR PROPERTY WHILE PARTICIPATING IN THE EVENT. TO THE EXTENT STATUTE, CASE LAW, OR OTHERWISE PROHIBITS RELEASES FOR NEGLIGENCE, I, ON BEHALF OF MYSELF AND THE INDEMNIFYING PARTIES, DO HEREBY AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE INDEMNIFIED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS FOR DAMAGES, INJURIES, AND/OR LOSSES CONNECTED WITH, RESULTING FROM, OR ARISING OUT OF ITS NEGLIGENCE. FURTHERMORE, I, ON BEHALF OF MYSELF AND THE INDEMNIFYING PARTIES, DO HEREBY ACKNOWLEDGE THAT THE INDEMNIFICATION LANGUAGE HEREIN IS CONTRACTUALLY BINDING; ANY CLAIMS MADE IN CONTRAVENTION OF THIS WAIVER WILL BE DISMISSED WITH PREJUDICE AND THE ASSERTING PARTY WILL BE LIABLE FOR ANY EXPENSES, INCLUDING, BUT NOT LIMITED TO, ATTORNEY’S FEES AND COURT COSTS, INCURRED BY THE HOST AS A RESULT OF DEFENDING THEMSELVES AGAINST SUCH CLAIMS. LASTLY, I DO HEREBY AGREE THAT THE HOST WILL HAVE THE UNRESTRICTED RIGHT TO SELECT ITS OWN LEGAL COUNSEL, PARTICIPATE IN ITS OWN DEFENSE, AND NEGOTIATE ITS OWN SETTLEMENTS.

I DO HEREBY ACCEPT FULL RESPONSIBILITY FOR ANY AND ALL DAMAGES, INJURIES, AND/OR LOSSES THE HOST, VENDORS, AND/OR OTHER PARTICIPANTS MIGHT SUSTAIN TO THE PERSON AND/OR PROPERTY AS A RESULT OF MY NEGLIGENCE, ACTS, AND/OR OMISSIONS.

I COMPREHEND AND DO HEREBY DECLARE THAT I COMPLETELY AND TOTALLY UNDERSTAND THAT AGREEING TO THE TERMS OF THIS WAIVER IS ABSOLUTELY MATERIAL TO HOST’S DECISION TO ALLOW ME TO PARTICIPATE IN THE EVENT, AND THAT, IN THE ABSENCE OF A SIGNED WAIVER, MY PARTICIPATION IN THE EVENT WOULD HAVE BEEN PROHIBITED BY THE HOST.
10.
I comprehend and do hereby agree with the following: This Waiver is a covenant not to sue (i.e., starting a lawsuit and/or joining a lawsuit of any kind and nature) the Host. This Waiver is governed by the laws of the State of Florida; venue is Orlando, Florida. I waive my right to have any disputes arising under this Waiver heard and settled by a judge or jury; any disputes will be settled by binding arbitration facilitated by one (1) arbitrator who is a subject matter expert employing the rules of the American Arbitration Association. Any fees incurred by a party hereto while enforcing the Terms of this Waiver will be reimbursed by the unsuccessful party. This Waiver cannot be modified. The Host’s failure to enforce one or more of the Terms of this Waiver will not be construed as a modification, exception, or otherwise waiver of such Terms; the right to subsequently enforce the Terms of this Waiver at any time remains, at all times, with the Host. This Waiver is intended to be as broad and inclusive as permitted by the laws of the State of Florida. Should any Terms herein be deemed illegal, invalid, or unenforceable by a court of competent jurisdiction, such Terms will be severed without affecting the interpretation and application of the remaining Terms.

If I am a parent or legal guardian (the “Adult”) executing this Waiver on behalf of my child who is under the age of eighteen (18) (“Minor Child”), I do hereby agree to (i) the Terms herein and (ii) waiving all rights on behalf of myself as the Adult, my Minor Child, and any and all individuals, organizations, and/or other entities who may have the right and/or an interest in acting on behalf of myself and/or my Minor Child; the Terms herein should be applied accordingly.
12.
I have asked meaningful questions about the Terms of this Waiver, and, after considering the answers, decided to sign it under my own free will and accord. It is my intent that I be legally bound by the Terms herein to their fullest extent without dispute.
