WAIVER AND RELEASE OF LIABILITY AGREEMENT

This Waiver and Release of Liability Agreement (the “Agreement”) is entered into on this 8th day of January, 2025, by and between the “Participant” and “The Run Club USA/HDSN Run Club/Baker Health”.

1. Acknowledgment of Risk

I, the undersigned, acknowledge that my participation in The Run Club USA/HDSN Run Club/Baker Health/Events involves known and unanticipated risks that could result in physical or emotional injury, paralysis, death, or damage to myself, property, or to third parties. I understand that such risks simply cannot be eliminated without jeopardizing the essential qualities of the activity.

The risks include, but are not limited to: falls, fractures, concussions, dehydration, seizures, amongst other health risks associated with physical activities.

2. Assumption of Risk

I expressly agree and promise to accept and assume all of the risks existing in this activity. My participation in this Activity is purely voluntary, and I elect to participate in spite of the risks.

3. Waiver of Liability and Release

In consideration for being permitted to participate in the activity, I voluntarily release, forever discharge, and agree to hold harmless The Run Club USA/HDSN Run Club/Baker Health, its employees, instructors, volunteers, agents, and representatives from any and all claims, demands, or causes of action, which are in any way connected with my participation in this activity or my use of The Run Club USA/HDSN Run Club/Baker Health’s equipment or facilities, including any such claims which allege negligent acts or omissions.

4. Indemnification

Should The Run Club USA/HDSN Run Club/Baker Health or anyone acting on its behalf incur attorney’s fees and costs to enforce this agreement, I agree to indemnify and hold them harmless for all such fees and costs.

5. Medical Treatment

I agree that in the event of any injury or medical emergency, The Run Club USA/HDSN Run Club/Baker Health has my permission to authorize medical treatment as deemed necessary, and I assume full financial responsibility for any such medical treatment.

6. Severability

I further expressly agree that this Agreement is intended to be as broad and inclusive as permitted by the laws of the state in which the activity takes place, and that if any portion of this Agreement is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey.

I HAVE READ THIS WAIVER AND RELEASE OF LIABILITY AGREEMENT, FULLY UNDERSTAND ITS TERMS, UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY SIGNING IT, AND SIGN IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT.
