Participant Waiver & Media Release


1 . P A R T I E S   A N D   S C O P E

In this document, “the Organizations” means SIGMAS Inc., Barbell Royalty, ModernRecess, and their
respective parents, subsidiaries, affiliates, successors, assigns, officers, directors, employees, contractors,
agents, volunteers, coaches, instructors, sponsors, partner facilities, and venue hosts.

“Activities” means any event, program, class, session, training, competition, gathering, shoot, or activation
organized, hosted, sponsored, promoted, or co-promoted by the Organizations, whether held at a private
facility, partner gym, commercial venue, public space, or outdoors. This includes but is not limited to:
strength and barbell training, weightlifting and lifting competitions, group fitness and bootcamp-style
sessions, community fitness events and pop-ups, group runs and outdoor training, races, and content shoots
and brand activations.

I, the undersigned participant (or the parent or legal guardian signing on behalf of a participant under 18
years of age), enter into this agreement freely and voluntarily as a condition of participating in the Activities.



2 . R E P R E S E N T A T I O N   O F   F I T N E S S   A N D   H E A L T H

I certify that I am medically able and properly trained to participate in the Activities, and that I am in good
health with no condition that would make participation unsafe for me or for others. I understand that the
Organizations have not performed and are not obligated to perform any medical screening or fitness
assessment.

I will not participate in any Activity unless I am medically able and properly conditioned for it. I accept sole
responsibility for determining whether any Activity, exercise, load, or intensity is appropriate for me, and for
stopping or modifying my participation at any time. I have been advised to consult a physician before
beginning any exercise program.

I agree to disclose to event staff any injury, condition, allergy, medication, or limitation that may affect my
safe participation, and I authorize the Organizations to obtain or administer emergency medical treatment on
my behalf if I am unable to consent at the time.

3 . A S S U M P T I O N    O F    R I S K

I understand that the Activities are inherently and potentially hazardous, and could result in property damage, serious bodily injury, permanent disability, paralysis, or death. I knowingly and voluntarily assume all risks associated with participation, both known and unknown, including risks that may arise from the negligence of others or from conditions not reasonably foreseeable.

Risks I expressly assume include, without limitation:
Strength and barbell training.
– Dropped, dislodged, or falling barbells, plates, dumbbells, kettlebells, and other loaded implements
– Equipment failure, including racks, bars, collars, benches, platforms, straps, belts, and flooring
– Muscular, tendon, ligament, joint, and spinal injury, including strains, tears, ruptures, dislocations, and
fractures
– Injury arising from improper form, fatigue, over-exertion, failed lifts, or inadequate or unsuccessful
spotting
– Rhabdomyolysis, hernia, cardiac event, syncope, and other physiological responses to intense exertion
Group fitness and community events.
– Physical contact or collision with other participants, staff, volunteers, spectators, or bystanders
– Slips, trips, and falls on gym flooring, turf, mats, obstacles, or wet or uneven surfaces
– Injury from shared, portable, or improvised equipment, and from equipment being moved or set up
– Conditions of the facility or venue, including crowding, lighting, ventilation, temperature, and noise
Running and outdoor activity.
– Vehicular and bicycle traffic, including on open or partially closed roads, sidewalks, crossings, and
parking areas
– Road, trail, and terrain conditions, including potholes, curbs, gravel, debris, steps, and uneven or unlit
surfaces
– Weather and environmental exposure, including high heat, humidity, sun, freezing temperatures, wind,
rain, ice, poor air quality, and smoke
– Heat illness, heat stroke, hypothermia, dehydration, hyponatremia, and sunburn
– Encounters with animals, insects, plants, and other persons in public spaces
Content shoots and brand activations.
– Lighting, rigging, cabling, camera equipment, staging, backdrops, and set construction
– Repeated or sustained physical performance for the purpose of capture, including retakes
– Products, samples, apparel, and props, including footwear or garments unfamiliar to me
General and communicable disease.
– Inadequate or delayed first aid, emergency response, or medical treatment
– Conduct of other participants, spectators, volunteers, contractors, or members of the public
– Loss, theft, or damage to personal property
– Exposure to or infection by COVID-19 and other communicable diseases through contact with
participants, staff, volunteers, contractors, spectators, equipment, or surfaces, which may result in
personal injury, illness, permanent disability, or death

I acknowledge the contagious nature of communicable diseases and voluntarily assume the risk of exposure
or infection arising from my participation. I agree to follow current Centers for Disease Control and
Prevention (CDC) guidance and any public health requirements in effect, and I will not attend any Activity
while experiencing symptoms of a communicable illness.
All such risks are known, appreciated, and accepted by me.

4 . R U L E S    A N D    C O N D U C T

I agree to abide by all rules, safety instructions, and directions established by the Organizations and by any
partner facility or venue, and to follow the reasonable instruction of coaches, instructors, staff, and event
officials at all times.

I acknowledge that the Organizations and any official may deny, limit, suspend, or terminate my participation
at any time and for any reason, including for reasons of safety, capacity, conduct, or facility policy, and that
no refund is owed as a result.

Prohibited at Activities unless expressly authorized in writing: bicycles, skateboards, scooters, roller
skates and inline skates, hoverboards, baby joggers and strollers, animals other than service animals,
personal music players or headphones that impair situational awareness, glass containers, alcohol,
controlled substances, and weapons.
I agree to conduct myself respectfully toward other participants, staff, volunteers, and members of the public.
Harassment, discrimination, threatening behavior, and unsafe use of equipment are grounds for immediate
removal without refund.


5 . R E L E A S E    A N D    W A I V E R    O F    L I A B I L I T Y

Having read this document and knowing these facts, and in consideration of being permitted to participate in
the Activities, I, for myself and for my heirs, executors, administrators, personal representatives, and anyone
otherwise entitled to act on my behalf, hereby waive, release, discharge, and covenant not to sue the
Organizations from and against any and all claims, demands, damages, causes of action, losses, costs, and
liabilities of any kind arising out of or related to my participation in the Activities, my presence at any venue,
or my transportation to or from any Activity — including claims arising out of the negligence or carelessness of any of the persons or organizations released above, to the fullest extent permitted by
applicable law.

This release does not extend to claims arising from gross negligence, recklessness, or willful or intentional
misconduct, or to any liability that may not be released as a matter of law.

Indemnification. I agree to indemnify and hold harmless the Organizations from any loss, liability, damage,
or cost they may incur arising out of my participation, including claims brought by third parties as a result of
my acts or omissions.


6 . M E D I A ,    L I K E N E S S    &    S O C I A L    M E D I A    R E L E A S E

I grant the Organizations the irrevocable, perpetual, worldwide, royalty-free right and permission to
photograph, film, record, and otherwise capture my image, likeness, voice, name, and performance at or in
connection with the Activities, and to use, reproduce, edit, publish, distribute, display, and license such material for any lawful purpose, including advertising, marketing, promotion, editorial, and commercial use.

Channels. This permission extends to all media now known or later developed, including the Organizations'
websites, email and SMS communications, printed and physical materials, paid advertising, and social media
accounts including Instagram, TikTok, Facebook, YouTube, X (Twitter), Pinterest, LinkedIn, and Snapchat.

Editing. I grant creative permission to crop, edit, alter, composite, color-correct, caption, and otherwise
modify the material, provided it is not altered in a sexually explicit manner or used to maliciously or falsely
represent me or my associates.

Third parties. I acknowledge that agencies, clients, publications, retail and media partners, sponsors, and
other organizations engaged by or working with the Organizations may also distribute this material on their
own channels for publicity and promotion, and I release the Organizations from liability for any claimed
violation of a personal or proprietary right arising from such third-party use.

No compensation or approval. I understand I will receive no monetary or other compensation for these
permissions, and I waive any right to inspect or approve any material, or any use of it, before publication. I
waive any claim for royalties, residuals, defamation, false light, invasion of privacy, or infringement of any
right of publicity arising from authorized use. 

Attribution. The Organizations are not obligated to credit or identify me in connection with any use.


7 . C A N C E L L A T I O N    A N D    R E F U N D S
I understand that the Organizations do not provide refunds in the event that an Activity is cancelled, postponed, relocated, shortened, or modified, including for reasons of weather, facility availability, public health, safety, or circumstances beyond their control. Any refund or credit issued is at the sole discretion of
the Organizations.



8 . P A R T I C I P A N T S    U N D E R    1 8    Y E A R S    O F    A G E

If the participant is under 18 years of age, this agreement must be signed by a parent or legal guardian. By
signing, the parent or legal guardian represents that they have full legal authority to do so and, on behalf of
the minor and themselves:

– Consents to the minor's participation in the Activities
– Accepts and agrees to every term of this agreement, including the assumption of risk in Section 3, the
release in Section 5, and the media release in Section 6
– Authorizes emergency medical treatment for the minor where the parent or guardian cannot be reached
– Agrees to indemnify and hold harmless the Organizations from any claim brought by or on behalf of the minor arising from participation, to the fullest extent permitted by law.


9 . G E N E R A L.   T E R M S

   9.1. Governing law. This agreement is governed by the laws of the State of California, without regard to its
conflict-of-laws rules. Any action arising from it shall be brought exclusively in the state or federal courts
located in Orange County, California.
   9.2. Severability. If any provision of this agreement is held invalid or unenforceable, that provision shall be
limited or severed to the minimum extent necessary, and the remainder shall continue in full force and effect.
   9.3. Entire agreement. This agreement is the complete understanding between the parties on its subject
matter and supersedes any prior oral or written representation. No term may be modified except in a writing
signed by an authorized representative of the Organizations.
   9.4. Duration. This agreement is effective on signature and continues for all Activities in which I participate,
until revoked by me in writing. Revocation is prospective only and does not affect media already captured,
published, or licensed.
   9.5. Electronic signature. This agreement may be executed electronically, and an electronic or scanned
signature has the same effect as an original.


A C K N O W L E D G E M E N T    A N D    S I G N A T U R E
I have read this entire document. I understand that I am giving up substantial legal rights, including the right to sue. I understand that I am assuming risks that could result in serious injury or death. I am signing it freely and voluntarily, without inducement, and I intend it to be
a complete and unconditional release of liability to the greatest extent allowed by law.
