PARTICIPATION AGREEMENT AND RELEASE, WAIVER AND INDEMNITY (“AGREEMENT”)
MOVE, AUGUST 17, 2025,
Santa Monica Pier – Pier Parking Lot Deck – 200 Santa Monica Pier, Santa Monica, CA 90401, United States 
(the “Event”)

IMPORTANT! BY SIGNING THIS AGREEMENT YOU ARE AGREEING TO ACCEPT RISKS AND TO GIVE UP CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE. PLEASE READ THE AGREEMENT CAREFULLY AND DO NOT SIGN THIS AGREEMENT UNTIL YOU HAVE READ IT IN FULL AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

The individual named below, or in the case of a participant under the age of majority, which is 18 in the state of California, their parent/guardian, (referred to as “I”, or “me” or “Participant”) understands that participation in the Event is voluntary and this Agreement is a legally binding agreement made for the benefit of City Shred Inc. (“City Shred”), and any of its current and former members, agents, employees, officers, directors, representatives, Event producers/leads/volunteers, attorneys, and insurers, as well as its Event sponsors and partners, including Celsius Holdings, Inc. (and its subsidiaries and affiliated companies), Essentia/Nestlé S.A. (and its subsidiaries and affiliated companies), and any other sponsors listed for the Event (all collectively, the “Releasees”). This Agreement inures to the benefit of the Releasees and binds me (and my parent/guardian in the case of a participant under the age of majority) and my respective heirs, executors, administrators and representatives, successors and assigns.

In consideration of City Shred allowing me to participate in the Event, and in recognition of the City Shred’s reliance hereon I, or my parent/guardian (if I am under the age of majority), agree to the following:

ACKNOWLEDGEMENT OF RISK

I ACKNOWLEDGE THAT THE EVENT IS A HIGH INTENSITY INTERVAL TRAINING EXERCISE EVENT AND INVOLVES INHERENT RISKS, DANGERS, AND HAZARDS (THE “RISKS”) TYPICAL OF SUCH AN EVENT, INCLUDING RISK OF ILLNESS, SERIOUS AND/OR PERMANENT INJURY OR DEATH, AND/OR DAMAGE TO OR LOSS OF PERSONAL PROPERTY. Such Risks (and this is not a comprehensive list) may result directly or indirectly from:

Contact with food or drinks that may contain or have been exposed to known and potentially unknown irritants and allergens and contamination;
High and low energy physical activity and personal and general injuries arising from physical activity (including sprains, strains, fatigue, concussion, overexertion, exhaustion, cardio-pulmonary strain);
Environmental hazards (including allergies, dehydration, insect encounters);
Risk of falling, accident, or collision due to various hazards, including uneven and/or slippery surface and the acts of other participants;
Theft, vandalism, and loss or damage to personal property;
Equipment failure or malfunction, including safety equipment;
Lack of immediate access to medical attention or services; and
Communicable disease (including, but not limited to COVID-19).

NOTWITHSTANDING THE RISKS, I ACKNOWLEDGE THAT I AM KNOWINGLY AND VOLUNTARILY PARTICIPATING IN THE EVENT WITH AN EXPRESS UNDERSTANDING OF THE DANGER INVOLVED AND HEREBY AGREE TO ACCEPT AND ASSUME ANY AND ALL RISKS OF INJURY, DISABILITY, DEATH, AND/OR PROPERTY DAMAGE ARISING FROM MY PARTICIPATION IN THE EVENT, WHETHER CAUSED BY THE ORDINARY NEGLIGENCE OF THE RELEASEES OR OTHERWISE. 

RELEASE AND WAIVER

I hereby expressly RELEASE AND FOREVER DISCHARGE the Releasees to the fullest extent permitted by law, from any and all liability, claims and demands, damages, loss or injury, costs, interest, disbursements, and subrogated and derivative claims, however arising, which may have been or may hereafter be sustained by me, including any which may arise in the future but are not known or anticipated now, relating to personal or psychological injury, death, property damage, illness (including COVID-19), economic loss, out-of-pocket expenses, or any other loss resulting from or arising out of my involvement or participation in the Event, WHETHER ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASEES OR OTHERWISE. I covenant not to make or bring any such claim against the Releasees, and forever release and discharge the Releasees from liability under such claims. This waiver and release does not extend to claims for gross negligence, willful misconduct, or any other liabilities that California law does not permit to be released by agreement.

WITH THE INTENTION OF WAIVING ALL UNKNOWN AND UNSUSPECTED CLAIMS, I HEREBY EXPRESSLY WAIVE ALL RIGHTS, BENEFITS, AND PROTECTIONS I MAY HAVE UNDER CALIFORNIA CIVIL CODE SECTION 1542, WHICH READS AS FOLLOWS:
A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.

INDEMNITY PROVISIONS
I shall defend, indemnify, and hold harmless the Releasees against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys’ fees, the costs of enforcing any right to indemnification under this Agreement, and the cost of pursuing any insurance providers incurred by/awarded against City Shred or any Releasees, arising out of or resulting from any claim of a third party related to my participation in the Event, including any claim related to my own negligence, or the ordinary negligence of the Company.
4. REPRESENTATION OF FITNESS

I warrant and represent that I am physically, mentally, psychologically and emotionally capable of participating in all aspects of this Event and that there is no medical reason that would restrict my ability to participate in this Event.

MEDICAL AUTHORIZATION

Should I require medical attention while involved in the Event and be unable to provide consent on my own behalf, I consent to City Shred and/or its employees securing such medical care as they, in their sole discretion, deem necessary for my health and safety. I understand that I shall be solely financially responsible for any such medical care. 

PUBLICITY WAIVER

I hereby grant City Shred and its affiliates and each of their respective employees, sponsors, agents, licensees and assigns, the right to use my name, voice, likeness, interviews and performance (“Likeness”) in whole or in part, as captured in photos and videos taken of me and/or recordings (together, the “Recordings”) made during the Event, for the purposes of exhibition, performance, distribution, display, advertising, marketing, and promotion for any purpose, in any and all media throughout the world in perpetuity, including without limitation on City Shred’s website and pages on social media platforms. 
I further consent that City Shred may: (i) distribute Recordings to the general public and third party partners (ii) add me to the City Shred email list for future communications and updates surrounding the Event, future events and other news and offers shared by City Shred.
Given the nature of digital recordings, the internet, social networking platforms and current technology, in providing this consent, I acknowledge that City Shred cannot control the unauthorized use of my Likeness after it has been published and/or distributed on the internet or social networking platforms, and that such platforms may have their own terms and conditions (which may change from time to time) regarding the content posted on such platforms.

JURISDICTION

All matters arising out of, or relating to the making or performance of this Agreement, whether sounding in contract, tort or statute shall be governed by and construed in accordance with, and enforced under, the internal laws of the Province of Ontario, Canada (including its statute of limitations) without giving effect to any choice or conflict of law provisions thereof, to the extent such principles or rules would require or permit the application of the laws of any jurisdiction other than those of the Province of Ontario, Canada. Any dispute in any way relating to or arising out of the Event or this Agreement shall be litigated, if at all, before the Superior Court of Justice of Ontario, Canada, to the exclusion of the courts of any other city, province, state, or country, and the parties hereto irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario.

MISCELLANEOUS

This Agreement constitutes the sole and entire agreement of City Shred and me with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any court declares any portion of this Agreement unenforceable, the remaining portions shall be fully enforceable. Furthermore, in lieu of any such severed and unenforceable provision, there shall be added automatically as a part of this Agreement, a provision as similar to the severed provision as may be possible, and which will be legal, binding, and enforceable. I acknowledge and agree that in no event shall I seek or be entitled to obtain injunctive or other equitable relief against City Shred or Releasees. 

BY SIGNING BELOW, I ACKNOWLEDGE THAT I HAVE READ AND FULLY UNDERSTOOD ALL OF THE TERMS OF THIS RELEASE AND THAT I AM VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE RELEASEES.  I AM AT LEAST EIGHTEEN (18) YEARS OF AGE AND FULLY COMPETENT.
