Nightcrawl Liability Waiver and Release of Liability Agreement

This Waiver and Release of Liability Agreement ("Agreement") is entered into between the participant ("Participant") and 37429 LLC (dba "Nightcrawl"), its owner and certified trainer Matthew Shepherd, venue provider Riverset Studios LLC ("The Hangar"), and their respective officers, employees, contractors, agents, representatives, insurers, affiliates, and successors (collectively, the "Releasees").

Event Description: Nightcrawl is a team-based high-intensity interval training (HIIT) fitness experience consisting of ten physical exercise stations: rowing machine, tire flips, farmer carries, sled pushes, ball slams, assault bike, zombie crawls, battle ropes, sandbag lunges, and rest & recovery/dancing. Participants complete six-minute workouts at each station with 1 minute and 30 seconds of transition between exercises. The event is held indoors in a dark and loud environment with amplified music and limited lighting.

1. Acknowledgment of Fitness, Age, and Medical Clearance
I affirm that I am at least 18 years old. I understand minors are not permitted.
I affirm that I am in good physical condition and have been medically cleared for strenuous exercise. I will not participate if I have any injury, illness, or condition that could be aggravated.

2. Exercise Proficiency and Compliance with Protocol
I certify that I have reviewed, practiced, and mastered proper form for each of the ten exercises in the Nightcrawl circuit.
I have read, understood, and agree to follow the Nightcrawl Proper Form Guide: Form Guide.
I have read, understood, and agree to carefully conduct the exercises including the mounting and dismounting of the equipment
I have read, understood, and agree that I bear liability of injuring a fellow workout participant if my actions cause damage to persons or property from not follow proper protocol described in the Nightcrawl Proper Form Guide, or from not mounting, dismounting, or performing the exercise dilligently around other participants
I agree to follow all instructions provided by the Lead Trainer introduced at the start of the event. Failure to comply may result in removal without refund.

3. Detailed Assumption of Risk and Inherent Dangers
I understand and accept that participation involves, but is not limited to, the following risks:
Slips, trips, or falls on wet, uneven, or debris-covered surfaces
Collisions or contact with other participants, spectators, or staff
Equipment malfunction, failure, or improper setup
Weights or objects dropping unexpectedly
Muscle, ligament, tendon, or joint injuries; fractures, sprains, strains, or dislocations
Cardiac events, heat-related illnesses, dehydration, electrolyte imbalance, or fainting
Hearing damage or sensory disorientation due to loud music and flashing lights
Inadequate lighting increasing risk of missteps or collision
Fatigue or overexertion leading to decreased coordination or judgment
Exposure to environmental hazards (smoke machines, fog, special effects)
Transmission of communicable diseases, including COVID-19
Delays in emergency response due to venue layout or crowding
I voluntarily assume all such risks, whether known or unknown, and accept full responsibility for any injury, damage, or loss I may suffer.

4. Release and Waiver of Liability
In consideration of my participation:
I hereby release, waive, discharge, and covenant not to sue the Releasees from any and all claims, demands, liabilities, or causes of action arising out of or related to my participation, whether caused by negligence, breach of contract, or otherwise.
This release is broad and inclusive, covering claims for bodily injury, death, property damage, or economic loss.
I expressly agree this waiver is intended to apply to the fullest extent permitted by Florida law. I understand it does not apply to gross negligence, willful misconduct, or intentional acts.

5. Indemnification and Defense
I agree to indemnify, defend, and hold harmless the Releasees from any claims, demands, damages, costs, or expenses (including attorneys’ fees) arising from my actions or omissions during the event.
This includes any harm or damage I cause to other participants, property, or third parties.

6. Emergency Services, First Aid, and Medical Treatment
I understand first aid and basic medical support will be available onsite but is not a substitute for professional medical care.
I authorize event staff to secure medical attention on my behalf if necessary and agree to be financially responsible for all related costs.
I will disclose any relevant health information (e.g., allergies, pacemaker) during registration.

7. Media Release and Publicity
I grant permission to 37429 LLC and its affiliates to use my image, likeness, and voice in photographs, video, or other media for promotional or commercial purposes without compensation.
I waive any right to inspect or approve finished media.

8. Personal Property
I acknowledge that I am responsible for my personal belongings. The Releasees are not liable for theft, loss, or damage to personal items.

9. No Refund Policy
All registration fees are final, non-refundable, and non-transferable, regardless of attendance or event cancellation for reasons beyond the Releasees’ control.

10. Governing Law, Venue, and Severability
This Agreement shall be governed by and construed in accordance with the laws of Florida.
Any dispute arising under this Agreement shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.
If any provision is deemed invalid, the remainder shall remain in effect.

11. Digital Agreement via SweatPals
By checking the “I agree” box and completing registration on the SweatPals platform, I confirm that:
I have read, understood, and agree to all terms of this Agreement.
I accept the assumed risks and waive rights as described above.
I have mastered the exercises per the Form Guide.
This digital acceptance is legally binding and replaces a handwritten signature.
