Release of Liability and Indemnity Agreement

1.   ACTIVITIES AND ASSOCIATED RISKS: I have chosen to participate in the following activity:
Paddleboard Fitness Classes and/ or Special Events Hosted by Board & Body LLC
(hereinafter referred to as “the Activities”), which is organized by Board & Body LLC (hereinafter referred to as the “Company”).  
I understand that: the Activities are hazardous, and I may be exposed to inherent dangers and hazards, including but not limited to some of the following: unpredictable lake conditions, dangerous or unanticipated weather, overexertion, overheating, injuries from my lack of fitness or conditioning, equipment failures, drowning, death, falls, fractures, concussions, and negligence of others; as a consequence of these risks and other risks associated with the Activities that may not be listed here, I may be seriously hurt or disabled or may die from the resulting injuries, and my property may also be damaged; the Company assumes no responsibility for providing medical care during the Activities, and I will have to pay for any medical care that I incur. In consideration of the permission to participate in the Activities, I agree to the terms contained in this document including the express release of negligence contained herein as well as the indemnification provisions contained herein.  
2.   ASSUMPTION OF THE RISKS:  I hereby freely assume the inherent risks as well as any other risks not listed that are part of these Activities, and any harm, injury, illness, or loss that may occur to me or my property as a result of my participation in the Activities—including any injury, illness, or loss caused by the negligence of the Company, its employees, agents and officers, its contractors, and other Activities participants. I also understand that any equipment that I borrow from the Company I use at my own risk and that any such equipment is provided without any warranty about its condition or suitability. I acknowledge that the Company offers life jackets for all Activities, and I may choose to wear this at my own discretion. I acknowledge that no certified lifeguard is present during these Activities, and assume all inherent risk as a result of my participation in the Activities.
3.   RELEASE OF LIABILITY: To the fullest extent permitted by law, I hereby RELEASE, WAIVE, and DISCHARGE the Company, its past, present and future employees, agents, officers, contractors, parents, subsidiaries, affiliates, joint venturers, partners, successors, assigns, and each of their respective directors, officers, managers, members, employees, agents, representatives, contractors, and invitees, as well as the providers of any equipment used in the Activities, land owners, municipal or governmental providers of use permits and leases, and their respective employees, officers, directors,  (collectively, “the Released Parties”) FROM ALL claims, demands, suits, causes of action, liabilities, damages (including bodily injury, death, or property damage), losses, penalties, fines, judgments, settlements, costs and expenses (including reasonable attorneys’ fees and costs), whether known or unknown, suspected or unsuspected, arising in law or equity, in contract, tort (including negligence), strict liability, statute or otherwise, that may arise in any way from any injury, illness, death, loss or harm that occur to me or to any other person or to any property during the Activities or in any way related to the Activities. This release extends to any claims caused in whole or in part by the sole, joint, concurrent, active, or passive negligence of any member of the Released Parties. This release expressly includes claims caused in whole or in part by the negligence of the Released Parties, or any member thereof. 
This section 3 is intended to satisfy the express negligence doctrine under Texas law by expressly stating my intent that this release covers the negligence of the Released Parties.
4.   INDEMNIFICATION HOLD HARMLESS AND DEFENSE: TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, I SHALL DEFEND, INDEMNIFY, AND HOLD HARMLESS THE RELEASED PARTIES, AS DEFINED IN SECTION 3 ABOVE, FROM AND AGAINST ANY AND ALL CLAIMS ASSERTED BY ANY PERSON OR ENTITY ARISING OUT OF OR RELATING TO THE ACTIVITIES, INCLUDING CLAIMS CAUSED IN WHOLE OR IN PART BY THE SOLE, JOINT, CONCURRENT, ACTIVE OR PASSIVE NEGLIGENCE OF ANY MEMBER OF THE RELEASED PARTIES, PROVIDED, HOWEVER, THAT I SHALL HAVE NO OBLIGATION TO INDEMNIFY THE RELEASED PARTIES TO THE EXTENT A CLAIM IS CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF THE RELEASED PARTIES, AS SUCH INDEMNIFICATION IS NOT PERMITTED UNDER TEXAS LAW.  I also promise to INDEMNIFY, HOLD HARMLESS AND DEFEND the Released Parties against any and all claims for my own negligence, and any other claim arising from my conduct during the Activities.  In accordance with these promises, I will reimburse the Released Parties for any damages, reasonable settlements and defense costs, including attorney’s fees, that they incur because of any such claims made against them.  I agree that in the event of my death or disability, the terms of this Agreement, including the indemnification obligation in this Section, will be binding on my estate, and my personal representative, executor, administrator or guardian will be obligated to respect and enforce them.
THIS SECTION 4 IS INTENDED TO SATISFY THE EXPRESS NEGLIGENCE DOCTRINE UNDER TEXAS LAW BY EXPRESSLY STATING MY INTENT THAT THIS INDEMNITY COVERS THE NEGLIGENCE OF THE INDEMNITEE GROUP.  
5.   AGREEMENT TO FOLLOW DIRECTIONS : I agree to follow the rules for the Activities provided to me and to follow directions given to me by the Instructor of the Activities. The Company reserves the right to refuse my participation at any time during the Activities, if it foresees that I may cause damage to the Release Parties or other Activities participants. 
6.   USE OF MY LIKENESS:  I understand that during the Activities I may be photographed or videotaped. To the fullest extent allowed by law, I waive all rights of publicity or privacy or pre-approval that I have for any such likeness of me or use of my name in connection with such likeness, and I grant to the Company and its assigns permission to copyright, use, and publish (including by electronic means) such likeness of me, whether in whole or part, in any form, without restrictions, and for any purpose. 
7.   SEVERABILITY: I agree that the purpose of this Agreement is that it shall be an enforceable RELEASE OF LIABILITY AND INDEMNITY as broad and inclusive as is permitted by Texas law. I agree that if any portion or provision of this Agreement is found to be invalid or unenforceable, then the remainder will continue in full force and effect.  I also agree that any invalid provision will be modified or partially enforced to the maximum extent permitted by law to carry out the purpose of the Agreement. 
8.   APPLICABLE LAW AND FORUM: This Agreement shall be construed in accordance with the laws of the state of Texas, without any reference to its choice of law rules. I agree that any dispute arising from this Agreement or in any way associated with the Activities shall be brought only in the Court of Burnet County, in Burnet County, Texas, and I agree to the jurisdiction and venue of those courts for any such dispute.  
9. TEXAS FAIR NOTICE: CONSPICUOUSNESS AND EXPRESS NEGLIGENCE
9.1:  Conspicuousness. I ACKNOWLEDGE AND AGREE THAT THE RELEASE AND INDEMNITY PROVISIONS IN SECTIONS 3 AND 4 ARE SET OUT IN CONSPICUOUS TYPE, ARE CAPITALIZED, AND ARE INTENDED TO BE CONSPICUOUS UNDER TEXAS LAW. THE PARTIES HAVE READ AND UNDERSTAND THESE PROVISIONS.
9.2: Express Negligence. I ACKNOWLEDGE AND AGREE THAT SECTIONS 3 AND 4 EXPRESSLY STATE THE INTENT OF THE PARTIES THAT THE RELEASE AND INDEMNITY COVER THE NEGLIGENCE (INCLUDING SOLE, JOINT, CONCURRENT, ACTIVE, OR PASSIVE NEGLIGENCE) OF THE INDEMNITEE GROUP, TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW.
10. EXCLUSIONS REQUIRED BY LAW
Nothing in this Agreement requires or shall be construed to require indemnity, release, or defense for the gross negligence or willful misconduct of the Indemnitee Group, or in violation of Texas law, including any anti-indemnity statutes applicable to [construction, oilfield, or other specified] agreements to the extent such statutes apply to the Covered Activity. To the extent any such statute applies, this Agreement shall be limited accordingly.
I HAVE FULLY INFORMED MYSELF OF THE CONTENTS OF THIS AGREEMENT BY READING IT BEFORE SIGNING IT. NO ORAL REPRESENTATIONS, STATEMENTS, OR OTHER INDUCEMENTS TO SIGN THIS RELEASE HAVE BEEN MADE APART FROM WHAT IS CONTAINED IN THIS DOCUMENT. I UNDERSTAND THIS IS A CONTRACT THAT AFFECTS MY LEGAL RIGHTS AND I SIGN IT OF MY OWN FREE WILL.
