PARTICIPANT LIABILITY WAIVER, EXPRESS RELEASE OF NEGLIGENCE, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT

In consideration for being permitted to participate in a group Pilates class organized by Rise Pilates Club and led by Olivia Santelli, including fitness instruction, warmups, cooldowns, and related event activities (collectively, the “Activities”), I knowingly and voluntarily agree as follows:

1. Acknowledgment and Assumption of Risk

I understand that Pilates and other forms of physical exercise involve inherent, known, and unknown risks. These risks include, but are not limited to:

* Muscle strains, sprains, fractures, and other physical injuries
* Overexertion, fatigue, soreness, or aggravation of an existing condition
* Loss of balance, slips, trips, falls, or collisions with participants or equipment
* Improper use, movement, placement, maintenance, or failure of exercise equipment
* Dehydration, dizziness, fainting, heat exhaustion, or heat stroke
* Cardiovascular complications, breathing difficulties, or other medical emergencies
* Exposure to weather, temperature, surface, or environmental conditions
* Delayed access to emergency medical treatment
* Serious injury, illness, emotional distress, permanent disability, paralysis, or death

I understand that this list does not include every possible risk. I knowingly and voluntarily assume all risks associated with the Activities, whether known or unknown, foreseeable or unforeseeable, and whether caused by environmental conditions, my actions, the actions of others, or the ordinary negligence of a Released Party.

2. Health and Fitness Representation

I represent that I am physically and medically able to participate safely in the Activities. I am not aware of any injury, illness, pregnancy-related restriction, medical condition, medication, or other circumstance that would make participation unsafe.

It is my responsibility to consult a qualified healthcare professional before participating if I have concerns about my health or physical ability. I agree to stop participating immediately and notify Olivia Santelli or another event representative if I experience pain, dizziness, shortness of breath, nausea, weakness, or another unusual symptom.

I understand that Olivia Santelli and Rise Pilates Club are not providing medical advice, diagnosis, or treatment.

3. Participant Responsibilities

I agree to:

* Follow all instructions provided by Olivia Santelli, Rise Pilates Club, and event staff
* Use reasonable care while participating in the Activities
* Use exercise equipment only as directed
* Avoid any movement, exercise, or activity that I believe exceeds my abilities
* Notify the instructor or event staff immediately of any dangerous condition, injury, or emergency
* Refrain from participating while impaired by alcohol, cannabis, illegal substances, or medication that could affect my balance, judgment, or coordination
* Comply with all posted rules, venue requirements, and safety instructions

I understand that Olivia Santelli, Rise Pilates Club, or event staff may restrict or end my participation if they reasonably believe my condition or conduct presents a danger to me or others.

4. Express Release and Waiver of Liability, Including Ordinary Negligence

**TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, I RELEASE, WAIVE, DISCHARGE, AND AGREE NOT TO SUE OLIVIA SANTELLI, RISE PILATES CLUB, THE EVENT VENUE, PROPERTY OWNERS, EVENT HOSTS, SPONSORS, CONTRACTORS, VOLUNTEERS, EMPLOYEES, INSTRUCTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS** (collectively, the “Released Parties”) for any claim, demand, cause of action, injury, illness, death, disability, property damage, loss, expense, or liability arising from or connected with my participation in the Activities.

**I EXPRESSLY UNDERSTAND AND AGREE THAT THIS RELEASE INCLUDES CLAIMS ARISING FROM THE PRESENT OR FUTURE ORDINARY NEGLIGENCE OF A RELEASED PARTY**, including negligent instruction, supervision, maintenance, emergency response, or failure to warn, except to the extent such liability cannot lawfully be released.

This Agreement does not release claims based on gross negligence, reckless conduct, intentional misconduct, or any other liability that cannot legally be waived.

5. California Civil Code §1542 Waiver

I understand that California Civil Code §1542 provides:

“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

To the fullest extent permitted by law, I knowingly and voluntarily waive the protections of California Civil Code §1542 and any similar law. I understand that I may later discover injuries, damages, or facts that are presently unknown or unsuspected, but I intend for this Agreement to release all claims covered by it, whether known or unknown, suspected or unsuspected.

6. Indemnification

To the fullest extent permitted by law, I agree to indemnify, defend, and hold harmless the Released Parties from claims, damages, liabilities, judgments, costs, or expenses, including reasonable attorneys’ fees, arising from my actions, misconduct, failure to follow instructions, violation of this Agreement, or injury or damage I cause to another person or property.

This provision does not require me to indemnify a Released Party for liability that cannot legally be transferred or waived.

7. Emergency Medical Care

If I become injured or ill and am unable to provide consent, I authorize Olivia Santelli, Rise Pilates Club, or event staff to obtain reasonable emergency medical assistance for me.

I understand that the Released Parties are not obligated to provide medical care. I accept financial responsibility for any medical evaluation, transportation, treatment, or related expense incurred on my behalf.

8. Personal Property

I understand that Olivia Santelli, Rise Pilates Club, and the other Released Parties are not responsible for the loss, theft, or damage of personal property, including phones, bags, clothing, jewelry, or exercise equipment, except where liability cannot legally be waived.

9. Governing Law, Venue, and Severability

This Agreement will be governed by the laws of the State of California.

Any legal action arising from this Agreement or the Activities must be brought in a court of competent jurisdiction located in Los Angeles County, California.

If any provision of this Agreement is held invalid or unenforceable, that provision will be modified or severed only to the extent necessary, and the remaining provisions will remain in full force and effect.

10. Entire Agreement

This Agreement contains the entire understanding concerning its subject matter and replaces any prior oral or written representations concerning the waiver and release of liability. Any modification must be in writing and signed by the participant and an authorized representative of Rise Pilates Club.

11. Acknowledgment and Voluntary Agreement

I confirm that:

* I have carefully read and understand this entire Agreement
* I understand the nature and risks of the Activities
* I understand that I am giving up substantial legal rights, including certain rights to sue Olivia Santelli, Rise Pilates Club, and the other Released Parties
* I have had the opportunity to ask questions and obtain independent legal advice
* I am signing this Agreement knowingly, freely, and voluntarily
* I intend for this Agreement to bind me and my heirs, estate, personal representatives, and assigns
