PARTICIPANT WAIVER, RELEASE OF LIABILITY AND MEDIA RELEASE AGREEMENT

 

Please read this entire document carefully before signing. By signing below, you are giving up certain legal rights. This is a legally binding agreement.

 

1. PARTIES

This Waiver and Release of Liability ("Agreement") is entered into between the undersigned participant ("Participant") and Thrive Wellness Solutions LLC, operating under the trade name Body Ritual, and Better Space, located at 62 W Colonial Drive, Suite 303, Orlando, FL 32801 (collectively referred to as the "Released Parties").

 

2. DESCRIPTION OF ACTIVITY

The Participant wishes to participate in Pilates Strength classes and any related fitness programming, events, workshops, or activities offered by Body Ritual (collectively, the "Activity"). The Activity involves physical exercise including but not limited to strength training, resistance work, bodyweight movement, and mat-based Pilates instruction.

 

3. ACKNOWLEDGMENT OF RISKS

The Participant acknowledges and understands that participation in the Activity involves inherent risks, dangers, and hazards, including but not limited to:

• Physical injury, including muscle strains, sprains, fractures, or other bodily harm
• Cardiovascular stress and exertion-related illness
• Slip and fall accidents on studio premises
• Equipment-related injuries from props including mats, weights, resistance bands, and bars
• Heat-related illness or discomfort
• Aggravation of pre-existing medical conditions
• Property damage or loss of personal belongings
 

The Participant voluntarily and knowingly assumes all such risks, both known and unknown, associated with participation in the Activity.

 

4. RELEASE AND WAIVER OF LIABILITY

In consideration of being permitted to participate in the Activity, the Participant, on behalf of themselves and their heirs, executors, administrators, personal representatives, and assigns, hereby RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE the Released Parties — specifically Thrive Wellness Solutions LLC, Body Ritual, and Better Space — and their respective owners, operators, members, managers, employees, agents, instructors, volunteers, sponsors, and successors from any and all liability, claims, demands, causes of action, or damages of any kind whatsoever arising out of or related to the Participant's participation in the Activity, WHETHER ARISING FROM THE NEGLIGENCE OF THE RELEASED PARTIES OR OTHERWISE, to the fullest extent permitted by Florida law.

 

This release includes but is not limited to claims for personal injury, death, property damage, economic loss, and any other harm, whether foreseeable or unforeseeable, arising from participation in the Activity or presence on the premises at 62 W Colonial Drive, Suite 303, Orlando, FL 32801.

 

5. INDEMNIFICATION

The Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Participant's participation in the Activity, including any claims brought by third parties as a result of the Participant's actions or conduct.

 

6. HEALTH AND FITNESS REPRESENTATIONS

The Participant represents and warrants that:

• They are in good physical health and have no medical condition, injury, or impairment that would prevent safe participation in the Activity
• They have consulted with a qualified physician or healthcare provider if they have any doubt about their ability to safely participate
• They will inform the instructor of any existing injuries, medical conditions, or physical limitations prior to participation
• They will not participate if they are feeling unwell, experiencing pain, or under the influence of alcohol or controlled substances
• They are 18 years of age or older, or have obtained written consent from a parent or legal guardian
 

7. RULES AND CONDUCT

The Participant agrees to follow all instructions given by Body Ritual instructors and staff, adhere to studio rules and safety guidelines, respect fellow participants and the shared space, and stop participation immediately if they feel pain, dizziness, or discomfort. The Released Parties reserve the right to remove any participant from the Activity at any time for failure to comply with studio rules or for the safety of themselves or others.

 

8. PHOTOGRAPHY, VIDEO, AND MEDIA RELEASE

By signing this Agreement, the Participant grants Thrive Wellness Solutions LLC (Body Ritual) a perpetual, irrevocable, worldwide, royalty-free license to photograph, film, record, and otherwise capture the Participant's image, likeness, voice, and performance during participation in any Body Ritual class, event, or activity.

 

The Participant expressly consents to the use of such photographs, video footage, audio recordings, and any other media content (collectively, "Content") by Body Ritual and Thrive Wellness Solutions LLC for any lawful purpose, including but not limited to:

• Social media platforms including Instagram, TikTok, Facebook, YouTube, and any future platforms
• Website and digital marketing materials
• Promotional content, advertising, and press materials
• Email marketing and community communications
• Partnership and sponsorship materials
 

The Participant waives any right to inspect or approve the Content prior to its use, and acknowledges that no compensation will be provided for the use of their likeness or image. The Participant releases Body Ritual and Thrive Wellness Solutions LLC from any claims arising from the use of such Content.

 

If the Participant does NOT consent to photography and media use, they must notify the instructor in writing prior to class. Participation in the Activity without written objection constitutes consent to this Media Release.

 

9. SEVERABILITY

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, the remaining provisions shall continue in full force and effect. The invalidity of any single provision shall not affect the validity of the Agreement as a whole.

 

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising from this Agreement shall be resolved in the courts of Orange County, Florida.

 

11. ENTIRE AGREEMENT AND ACKNOWLEDGMENT

The Participant acknowledges that they have read this Agreement in its entirety, that they fully understand its terms, that they are signing it freely and voluntarily without any inducement, and that it constitutes the entire agreement between the Participant and the Released Parties with respect to the subject matter herein.

 

THE PARTICIPANT UNDERSTANDS THAT BY SIGNING THIS AGREEMENT THEY ARE GIVING UP SUBSTANTIAL RIGHTS, INCLUDING THE RIGHT TO SUE THE RELEASED PARTIES FOR NEGLIGENCE OR OTHER CLAIMS ARISING FROM PARTICIPATION IN THE ACTIVITY.
