MIND BODY PRACTICE SERVICE AGREEMENT, RELEASE OF LIABILITY, WAIVER OF CLAIMS, ASSUMPTION OF RISK & INFORMED CONSENT

By checking the box and signing with your initials, you confirm that you have read, understand, and agree to both the Service Agreement and the Mind Body Practice Release of Liability, Waiver of Claims, Assumption of Risk & Informed Consent.

Service Agreement

This Contract for Services is entered into as of the date of ticket purchase by and between the ticket purchaser or attendee ("Recipient") and Solfire House LLC ("Provider").  

1. Description of Services. Beginning on the Effective Date, the Provider will provide to the Recipient the following wellness services (collectively, "Services"): breathwork, meditation.
  
2. Term. This Contract will terminate automatically upon completion by the Provider of the Services included by this Contract. All sales are final and no refunds will be issued, except as required by applicable law.
    
3. Force Majeure. If performance of this Contract or any obligation under this Contract is prevented, restricted, or interfered with by causes beyond either party's reasonable control ("Force Majeure"), and if the party who is unable to carry out its obligations and gives the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event. The term Force Majeure shall include, without limitation, acts of God, plague, epidemic, pandemic, outbreaks of infectious disease, or any other public health crisis, including quarantine or other employee restrictions, fire, explosion, vandalism, storm, or other similar occurrence, orders or acts of military or civil authority, or by national emergencies, insurrections, riots, or wars, or strikes, lock-outs, work stoppages or other labor disputes, or supplier failures. The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a party if committed, omitted, or caused by such party or its employees, officers, agents, or affiliates. 

4. Event Cancellation or Rescheduling. In the event the Provider cancels or reschedules the event due to weather conditions, safety concerns, Force Majeure, or other circumstances beyond the Provider’s reasonable control, the Provider may, in its sole discretion, either reschedule the event or issue a refund to ticket holders. The Provider shall not be liable for any additional costs, damages, or expenses incurred by the Recipient.
  
5. Dispute Resolution. The parties will attempt to resolve any dispute arising out of or relating to this Contract through friendly negotiations amongst the parties. If the matter is not resolved by negotiation within 30 days, the parties will resolve the dispute using Alternative Dispute Resolution (ADR) procedure. Any controversies or disputes arising out of or relating to this Contract will be resolved by binding arbitration under the rules of the American Arbitration Association. The arbitrator's award will be final, and judgment may be entered upon it by any court having proper jurisdiction. 
  
6. Entire Agreement. This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement, whether oral or written, concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreements between the parties. 
  
7. Severability. If any provision of this Contract will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable but that by limiting such provision, it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited. 
    
8. Governing Law. This Contract shall be construed in accordance with the laws of California. 
  
9. Notice. Any notice or communication required or permitted under this Contract shall be sufficiently given if delivered in person or by certified mail, return receipt requested, to the address set forth in this Contract or by electronic mail, as one party may have furnished to the other in writing. 
  
10. Waiver of Contractual Right. The failure of either party to enforce any provision of this Contract shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Contract. 
  
11. Attorney's Fees and Collection Costs. If there is dispute relating to any provisions in this Contract, the prevailing party is entitled to, and the non-prevailing party shall pay, the costs and expenses incurred by the prevailing party in the dispute, including but not limited to all out-of-pocket costs of collection, court costs, and reasonable attorney fees and expenses. 
  
12. Construction and Interpretation. The rule requiring construction or interpretation against the drafter is waived. The document shall be deemed as if it were drafted by both parties in a mutual effort. 
  

MIND BODY PRACTICE RELEASE OF LIABILITY, WAIVER OF CLAIMS, ASSUMPTION OF RISK & INFORMED CONSENT

This Mind Body Practice Release of Liability, Waiver of Claims, Assumption of Risk & Informed Consent (“Agreement”) is entered into by the undersigned participant (“Participant,” “I,” “me,” or “my”) in favor of Solfire House LLC, including its owners, officers, directors, employees, contractors, volunteers, assistants, facilitators, successors, and assigns (“Released Parties”).

1. ACKNOWLEDGMENT OF NATURE OF MIND BODY PRACTICES

I understand that Mind Body Practices may include controlled or conscious breathing practices, guided instruction, coaching, meditation, movement, emotional release, sound/music, and other wellness techniques. I understand that mind body practices are self-directed practices, and I am responsible for my participation, choices, and actions.  I understand that breathwork services are offered for educational and wellness purposes only and are not medical, psychological, or psychiatric treatment, and do not diagnose, treat, cure, or prevent any disease or condition.

2. ASSUMPTION OF RISKS

I understand that breathwork may involve inherent risks, which may include, but are not limited to: (i) dizziness, lightheadedness, tingling, numbness, shaking/tremors; (ii) muscle cramps/spasms (including hands/face), changes in temperature, nausea; (iii) emotional release, anxiety, panic, distress, or trauma-related activation; (iv) fainting, loss of consciousness, increased heart rate, shortness of breath; (v) aggravation of pre-existing medical or mental health conditions; and (vi) injury resulting from movement, falling, or physical reaction.  I voluntarily assume all risks, known and unknown, foreseeable and unforeseeable, arising from my participation in breathwork and related activities.

3. MEDICAL DISCLAIMER / NOT A SUBSTITUTE FOR CARE

I understand that breathwork is not a substitute for medical care, mental health treatment, psychotherapy, diagnosis, or emergency services.  I understand that I should consult a physician or licensed healthcare provider before participating if I have any medical concerns. I agree that I am solely responsible for seeking medical attention if I experience symptoms or concerns before, during, or after a session.

4. CONTRAINDICATIONS & PARTICIPANT HEALTH REPRESENTATIONS

I represent and warrant that: (i) I am participating voluntarily and am physically and mentally capable of participation; (ii) I will immediately stop or modify participation if I feel discomfort, distress, or unsafe; (iii) I will inform the facilitator before the session of any relevant conditions; (iv) I understand breathwork may not be appropriate for individuals with certain conditions, including but not limited to: cardiovascular disease, high blood pressure, stroke history, aneurysm, seizures/epilepsy, glaucoma/retinal detachment, severe asthma/COPD, pregnancy, recent surgery, severe psychiatric conditions (including psychosis, bipolar disorder, schizophrenia), severe PTSD/trauma instability, or any condition where intense breathing may be unsafe.  By signing below, I confirm that I have disclosed any relevant conditions and/or have chosen to participate despite them, at my own risk.

5. PARTICIPANT RESPONSIBILITY & SAFETY

I agree to: (i) Follow instructions and act with reasonable care for my safety and others’ safety; (ii) Refrain from participating under the influence of alcohol or illegal drugs; (iii) Participate in a safe environment (especially for online sessions), including adequate space, hydration, and ability to stop at any time; (iv) Notify the facilitator immediately if I experience distress, pain, or unusual symptoms.  For virtual sessions, I acknowledge I am responsible for my physical surroundings and internet connection, and I accept any risks related to participating remotely.

6. RELEASE OF LIABILITY & WAIVER OF CLAIMS

To the fullest extent permitted by law, I hereby release, waive, discharge, and covenant not to sue the Released Parties from any and all claims, demands, causes of action, damages, losses, costs, or liability of any kind arising out of or related to my participation in breathwork services, including but not limited to claims based on: (i) Personal injury, illness, disability, emotional distress, or death; (ii) Property damage or loss; (iii) Negligence (except where prohibited by law); and (iv) Any act or omission by the Released Parties.  This release applies whether the claims arise during or after my participation.

7. INDEMNIFICATION

I agree to indemnify, defend, and hold harmless the Released Parties from and against any claims, liabilities, damages, or expenses (including reasonable attorney fees) arising from or related to: (i) My participation in services; (ii) My breach of this Agreement; (iii) My actions or omissions during or after the session; and (iv) Any claims brought by third parties related to my participation.

8. CONFIDENTIALITY

I understand that breathwork sessions may involve personal sharing. The facilitator agrees to keep my information private to the extent reasonably possible; however, I understand confidentiality may be limited where disclosure is required by law (including threats of harm to self/others, suspected abuse, or legal process).  In group settings, I agree to respect the privacy of others and not share other participants’ personal information outside the session.

9. MEDIA RELEASE (OPTIONAL)

I grant permission for the Released Parties to use photographs, audio, video, or other recordings of me taken during sessions for educational or promotional purposes. By participating in the event, I provide this consent unless I submit a written request to opt out prior to or during the event.

10. NO GUARANTEES

I understand that results vary and no guarantees have been made regarding outcomes, benefits, or results of mind body practices.

11. GOVERNING LAW / DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of California, without regard to conflict of law rules. The parties will attempt to resolve any dispute arising out of or relating to this agreement through friendly negotiations among the parties. If the matter is not resolved by negotiation, the parties will resolve the dispute using Alternative Dispute Resolution (ADR) procedure.  Any controversies or disputes arising out of or relating to this agreement will be submitted to mediation in accordance with any statutory rules of mediation. If mediation is not successful in resolving the entire dispute or is unavailable, any outstanding issues will be submitted to final and binding arbitration under the rules of the American Arbitration Association. The arbitrator's award will be final, and judgment may be entered upon it by any court having proper jurisdiction.

12. SEVERABILITY

If any portion of this Agreement is found invalid or unenforceable, the remainder shall remain in full force and effect.

13. ENTIRE AGREEMENT

This Agreement contains the entire understanding between the parties and supersedes all prior discussions or agreements. I understand I am giving up substantial legal rights by signing this Agreement.
