WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT

THIS WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT (THE “AGREEMENT”) CONTAINS A RELEASE OF LIABILITY AND A WAIVER OF LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE. PLEASE READ CAREFULLY BEFORE SIGNING.

WAIVER AND RELEASE OF LIABILITY

In consideration of being permitted to participate in Stoke Fire, including all related activities, services, instruction, demonstrations, and the use of any premises, equipment, facilities, staff, volunteers, vendors, contractors, and transportation (collectively, the “Event”), I knowingly and voluntarily agree, for myself and on behalf of my heirs, executors, administrators, successors, and assigns, to release, waive, discharge, and covenant not to sue the Released Parties from any and all claims, demands, damages, losses, liabilities, causes of action, or expenses of any kind, whether known or unknown, foreseen or unforeseen, arising out of or related to my participation in the Event, INCLUDING CLAIMS ARISING FROM THE NEGLIGENCE OF THE RELEASED PARTIES, to the fullest extent permitted by Texas law.

“Released Parties” includes Stoke Fire, Stoke Fire Club, any affiliated or related entities, event producers, organizers, owners, sponsors, vendors, instructors, wellness providers, medical or recovery providers, contractors, volunteers, venue owners and operators, and each of their respective officers, members, managers, employees, agents, and representatives.

INDEPENDENT CONTRACTORS

I acknowledge and agree that certain vendors, sponsors, wellness providers, instructors, and service providers participating in the Event are independent contractors and are not employees, agents, partners, or representatives of Stoke Fire. Stoke Fire is not responsible for the acts, omissions, services, advice, or conduct of any independent contractor.

DESCRIPTION OF EVENT & ACTIVITIES

Event Name: Stoke Fire

Event Activities may include, without limitation:

• Cold plunges, ice baths, and cold exposure
• Saunas, heat exposure, and steam
• Compression therapy and recovery equipment
• Stretching, workouts, running, and physical exertion
• Group fitness or wellness classes
• Food and beverage service and consumption
• Red light therapy
• Massage, chiropractic services, or bodywork
• Music, DJs, dancing, and social gathering
• Recreational equipment or temporary installations
• Any other wellness, fitness, recovery, or social activities associated with the Event

ASSUMPTION OF RISK

I understand and acknowledge that participation in the Event is voluntary and involves inherent and significant risks that cannot be eliminated regardless of precautions taken. These risks may include, but are not limited to:

• Death or catastrophic injury
• Cardiac events, heart attack, or stroke
• Drowning
• Hypothermia or hyperthermia
• Frostbite or burns
• Loss of consciousness
• Heat exhaustion or heat stroke
• Head, neck, spine, or neurological injuries
• Muscle, joint, ligament, or bone injuries
• Cuts, scrapes, bruises, sprains, fractures
• Adverse reactions to cold, heat, or exertion
• Food-related illness, allergic reactions, or choking
• Exacerbation of pre-existing medical conditions
• Exposure to COVID-19 or other communicable diseases

I knowingly and freely assume ALL such risks, whether known or unknown, foreseeable or unforeseeable.

MEDICAL DISCLAIMER (NO MEDICAL ADVICE)

I understand that Stoke Fire does not provide medical advice, diagnosis, or treatment. Any wellness, recovery, or fitness-related activities, information, demonstrations, or services are for general informational and experiential purposes only and are not a substitute for professional medical advice.

I acknowledge that I am solely responsible for determining whether I am physically and medically fit to participate and that I assume full responsibility for monitoring my own condition before, during, and after participation.

EMERGENCY MEDICAL CONSENT

In the event of injury, illness, or medical emergency, I authorize the Released Parties to obtain or provide emergency medical treatment for me, at my expense, if deemed reasonably necessary. I understand that the Released Parties have no obligation to provide such care.

DRUG, ALCOHOL, AND PERSONAL RESPONSIBILITY

I acknowledge that participation while under the influence of alcohol, drugs, or impairing substances increases risk. I agree to participate responsibly and understand that I am solely responsible for my actions, decisions, and physical limits at all times during the Event.

WEATHER & OUTDOOR CONDITIONS

I acknowledge that the Event may take place outdoors or in temporary facilities and that weather conditions, uneven surfaces, heat, cold, wind, rain, or other environmental factors may increase the risk of injury. I voluntarily assume all risks associated with such conditions.

RULE COMPLIANCE & PERSONAL RESPONSIBILITY

I agree to follow all posted rules, verbal instructions, and safety guidelines. I understand that I am responsible for stopping participation if I feel unsafe, unwell, or uncomfortable for any reason.

INDEMNIFICATION AND HOLD HARMLESS

I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising out of or related to:

• My participation in the Event
• My violation of this Agreement
• My acts or omissions during the Event

FORCE MAJEURE

The Released Parties shall not be liable for any injury, loss, or damage caused by events beyond their reasonable control, including but not limited to weather events, acts of God, government orders, power failures, equipment failures, or third-party actions.

AGE REQUIREMENT

I represent and warrant that I am at least 18 years of age. Individuals under 18 are strictly prohibited from attending or participating in the Event.

PUBLICITY RELEASE

I grant the Released Parties the irrevocable right to use my name, image, likeness, voice, and appearance in photographs, video, or audio recordings captured during the Event for promotional, marketing, or commercial purposes in any medium, without compensation.

CLASS ACTION WAIVER & JURY WAIVER

I agree that any claim or dispute arising out of or related to this Agreement or the Event shall be brought solely on an individual basis and not as a class, collective, or representative action. I knowingly waive my right to a trial by jury.

GOVERNING LAW & VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Any legal action arising out of or relating to this Agreement or the Event shall be brought exclusively in the state or federal courts located in Travis County, Texas.

SEVERABILITY

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

ELECTRONIC SIGNATURE

I agree that my electronic signature or consent constitutes a legally binding signature.

ACKNOWLEDGMENT OF UNDERSTANDING

I acknowledge that I have read this Agreement in full, understand its terms, understand that I am waiving substantial legal rights, and sign it freely and voluntarily.
