WATERWAY WELLNESS
PARTICIPATION AGREEMENT, RELEASE OF LIABILITY,
ASSUMPTION OF RISK, INDEMNIFICATION & MEDIA RELEASE
Effective Date: February 13, 2026
This Participation Agreement and Release of Liability (“Agreement”) is entered into by the undersigned participant (“Participant”) in consideration for being permitted to participate in any run, walk, jog, workout, training session, meetup, social event, volunteer activity, or related activity organized, hosted, or coordinated by Waterway Wellness (“Organizer”).

1. SCOPE OF ACTIVITIES
This Agreement applies to all activities organized by Organizer, including but not limited to:
Group runs and fitness activities


Informal social meetups tied to fitness


Events conducted on public roads, sidewalks, parks, trails, beaches, bridges, parking lots, and other public or private property


Future events, recurring events, and pop-up events


Activities conducted anywhere within the State of Florida


This Agreement applies regardless of whether participation is free, donation-based, sponsored, or paid.

2. ACKNOWLEDGMENT AND ASSUMPTION OF INHERENT RISKS
Participant understands that running and fitness activities involve inherent, open, obvious, and unavoidable risks, including but not limited to:
Uneven surfaces, potholes, curbs, cracks, debris


Motor vehicle traffic and roadway crossings


Bicycle and pedestrian traffic


Poor lighting conditions


Construction zones


Weather conditions including heat, humidity, lightning, rain, flooding


Slips, trips, and falls


Collisions with other participants or third parties


Wildlife or domestic animal encounters


Dehydration, heat exhaustion, cardiac events


Undiagnosed medical conditions


Negligent acts of other participants


Equipment failure


Acts of God


Participant understands that injuries may include sprains, fractures, traumatic brain injury, paralysis, permanent disability, or death.
Participant voluntarily and knowingly assumes all risks, whether known or unknown, foreseeable or unforeseeable, inherent or arising from ordinary negligence.

3. RELEASE OF LIABILITY (INCLUDING NEGLIGENCE)
TO THE FULLEST EXTENT PERMITTED UNDER FLORIDA LAW, PARTICIPANT HEREBY RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE:
Waterway Wellness, its owners, members, managers, volunteers, organizers, employees, independent contractors, sponsors, affiliates, partners, host venues, and representatives (collectively “Released Parties”)
for any and all claims, demands, damages, causes of action, losses, or liabilities arising out of or related to participation in any activity.
THIS RELEASE EXPRESSLY INCLUDES CLAIMS BASED ON THE ALLEGED NEGLIGENCE OF THE RELEASED PARTIES.
This release does not apply to claims arising from gross negligence or intentional misconduct to the extent such claims cannot be waived under Florida law.

4. PUBLIC ROADWAY AND TRAFFIC ACKNOWLEDGMENT
Participant acknowledges that activities may occur on public roads and sidewalks not closed to traffic.
Participant agrees:
Organizer does not provide traffic control.


Organizer does not guarantee participant safety.


Participant is solely responsible for obeying traffic laws.


Participant assumes full responsibility for their own safety at all times.



5. FITNESS TO PARTICIPATE
Participant represents that:
They are physically capable of participating.


They have not been advised by a medical professional to avoid strenuous activity.


They are solely responsible for monitoring their physical condition.


They will stop participating if they feel unsafe or unwell.



6. COMMUNICABLE DISEASE ACKNOWLEDGMENT
Participant understands that participation in group activities may increase exposure to communicable diseases, including but not limited to COVID-19, influenza, or other viral or bacterial infections.
Participant voluntarily assumes all risks related to such exposure.

7. MEDICAL TREATMENT AUTHORIZATION
Participant authorizes Organizer to obtain emergency medical care if deemed necessary.
Participant agrees to be financially responsible for all medical expenses incurred.
Organizer has no duty to provide medical assistance.

8. NO INSURANCE PROVIDED
Participant understands Organizer does not provide medical, health, disability, or accident insurance coverage for participants.

9. INDEMNIFICATION
Participant agrees to indemnify, defend, and hold harmless the Released Parties from any claims, damages, costs, or attorney’s fees arising from:
Participant’s conduct


Participant’s violation of traffic laws


Participant’s negligent or reckless behavior


Claims brought by third parties arising from Participant’s actions



10. INDEPENDENT PARTICIPATION
Participant understands:
Organizer is not a coach, trainer, or medical provider.


Participation is voluntary.


No employment, partnership, or joint venture relationship is created.



11. MEDIA RELEASE
Participant grants Organizer an irrevocable, perpetual, royalty-free right to photograph, record, and use Participant’s image, likeness, voice, and name for promotional, marketing, advertising, and social media purposes without compensation.
Participant waives any right to inspect or approve such materials.

12. CLASS ACTION WAIVER
Participant agrees that any claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class action proceeding.

13. GOVERNING LAW AND VENUE
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
Any legal action shall be brought exclusively in a court of competent jurisdiction located in Broward County, Florida.
Participant consents to personal jurisdiction in Broward County.

14. SEVERABILITY
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or understandings.

16. ACKNOWLEDGMENT OF UNDERSTANDING
Participant acknowledges that:
They have read this Agreement carefully.


They understand they are waiving substantial legal rights.


They understand this is a release of liability.


They sign voluntarily and without coercion.
