Each event includes Upleveled's signature three-part format: a **mindset ritual** to get you present, a **mat-based strength session** to get you moving, and a **mindful close** to remind you why you showed up.&#x20;



We keep the good energy going with **wellness activations** and a social hour designed to help you connect with the people around you,  because community is part of the practice too.

UPLEVELED WELLNESS LLC
PARTICIPANT WAIVER, RELEASE OF LIABILITY,
ASSUMPTION OF RISK & INDEMNIFICATION AGREEMENT
Please read this document carefully before signing.
1. PARTIES
This Agreement is entered into by and between Upleveled Wellness LLC (hereinafter, "Upleveled Wellness," "we," or "the Company"), Oakview Group, University of Arizona Football Stadium (collectively, the "Released Parties"), and the undersigned participant ("Participant" or "I").
2. EVENT DESCRIPTION
This Agreement applies to participation in all Upleveled Wellness fitness classes, wellness events, pop-up activations, and programming (collectively, "Events"), including but not limited to the Upleveled Summer Series and any related wellness activations, group fitness sessions, mat-based training, movement classes, and social programming hosted at or in connection with the University of Arizona Football Stadium or any other venue operated or managed by Oakview Group.
3. ASSUMPTION OF RISK
I acknowledge and understand that participation in physical fitness activities, group exercise classes, and related wellness programming involves inherent risks of injury, illness, and even death. These risks include but are not limited to:

• Muscular strains, sprains, tears, and overexertion injuries;
• Joint injuries including to the knees, shoulders, hips, and spine;
• Cardiovascular events including heart attack, stroke, or irregular heartbeat;
• Falls, trips, collisions, or contact with other participants or equipment;
• Heat-related illness, dehydration, or exhaustion, particularly during outdoor events;
• Exacerbation of pre-existing medical conditions or injuries;
• Emotional or psychological distress;
• Property damage or loss of personal belongings;
• Injuries resulting from the acts or omissions of other participants;
• Any other injury or harm arising from physical activity or attendance at the Event.

I VOLUNTARILY ASSUME ALL RISKS, KNOWN AND UNKNOWN, associated with my participation in any Upleveled Wellness Event.
4. RELEASE OF LIABILITY
In consideration of being permitted to participate in Upleveled Wellness Events, I hereby RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE Upleveled Wellness LLC, Oakview Group, University of Arizona Football Stadium, and each of their respective officers, directors, employees, agents, contractors, volunteers, successors, and assigns (collectively, the "Released Parties") from any and all claims, demands, losses, damages, causes of action, or liability of any kind arising out of or related to my participation in any Event, including claims arising from the negligence of the Released Parties, to the fullest extent permitted by applicable law.
5. INDEMNIFICATION
I agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) my participation in any Upleveled Wellness Event; (b) my breach of this Agreement; or (c) my violation of any applicable law or the rights of any third party.
6. MEDICAL ACKNOWLEDGMENT & FITNESS TO PARTICIPATE
I represent and warrant that I am in good physical condition and have no medical condition, injury, or impairment that would prevent my safe participation in the Event. I acknowledge that Upleveled Wellness strongly recommends that all participants consult with a licensed physician prior to engaging in any fitness activity, particularly if they have a pre-existing medical condition, are pregnant, have recently undergone surgery, or have been sedentary. I take full responsibility for my decision to participate without a medical clearance.

I understand that Upleveled Wellness instructors and staff are not licensed medical professionals and are not qualified to provide medical advice, diagnosis, or treatment.
7. EMERGENCY MEDICAL TREATMENT AUTHORIZATION
In the event of an emergency, I authorize the Released Parties and their representatives to contact emergency medical services on my behalf and consent to the provision of emergency medical treatment. I understand and agree that the Released Parties shall not be held liable for any medical treatment rendered in an emergency situation.
8. PHOTO, VIDEO & MEDIA RELEASE
I grant Upleveled Wellness LLC and the Released Parties permission to photograph, film, or otherwise record my participation in Events and to use such images, videos, or recordings for promotional, marketing, or educational purposes across all media channels, including social media, without compensation to me.
9. RULES OF CONDUCT
I agree to follow all instructions given by Upleveled Wellness instructors and staff, abide by all venue rules and regulations, and conduct myself in a safe and respectful manner at all times. I understand that I may be asked to leave an Event if I fail to comply with these standards, and I will not be entitled to a refund in such circumstances.
10. OUTDOOR EVENTS & VENUE CONDITIONS
I acknowledge that certain Events may take place outdoors or in venues that present environmental risks, including but not limited to uneven terrain, extreme heat, sun exposure, and variable weather conditions. I assume full responsibility for any injury or harm arising from such conditions and acknowledge that the Released Parties are not responsible for Acts of God, weather events, or venue conditions beyond their reasonable control.
11. SEVERABILITY & ENTIRE AGREEMENT
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, or understandings.
12. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona. Any dispute arising under this Agreement shall be resolved in the courts of Pima County, Arizona.
13. ACKNOWLEDGMENT
BY SIGNING BELOW, I ACKNOWLEDGE THAT I HAVE READ THIS AGREEMENT IN ITS ENTIRETY, THAT I UNDERSTAND ITS TERMS, AND THAT I AM SIGNING IT FREELY AND VOLUNTARILY. I UNDERSTAND THAT I AM GIVING UP SUBSTANTIAL RIGHTS, INCLUDING THE RIGHT TO SUE. I ACKNOWLEDGE THAT I AM AT LEAST 18 YEARS OF AGE AND LEGALLY COMPETENT TO SIGN THIS AGREEMENT.
