WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT
THIS WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT (THE “AGREEMENT”) CONTAINS A RELEASE OF LIABILITY AND A COMPLETE WAIVER OF CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE. BY CHECKING THE CONSENT BOX, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREED TO ALL TERMS CONTAINED HEREIN.

	1.	PARTIES AND CONSIDERATION
This Agreement is entered into by and between the undersigned participant (“Participant”) and WHEALTH Social, its owners, organizers, officers, directors, employees, agents, contractors, volunteers, sponsors, partners, vendors, instructors, and the event venue Paradiso and its affiliates, owners, lessors, and representatives (collectively, “Released Parties”).
In consideration of being permitted to attend and participate in the WHEALTH Social event and all associated activities, facilities, services, and offerings (collectively, the “Event”), and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Participant agrees to all terms of this Agreement.

	2.	DESCRIPTION OF EVENT ACTIVITIES
The Event may include, but is not limited to, the following activities:
• Optional 5K run or walk
• Group fitness and yoga sessions
• Optional sauna session(s) (“Sauna”)
• Optional cold plunge / cold water immersion (“Cold Plunge”)
• Music and entertainment
• Wellness vendors and brand activations
• Consumption of food and beverages
• Social gathering and networking
• Outdoor and indoor activities
Participation in Sauna and Cold Plunge activities is strictly optional. Participant acknowledges that these activities involve exposure to extreme temperatures and carry materially elevated inherent risk relative to other Event activities. Participant’s decision to engage in Sauna or Cold Plunge constitutes a voluntary, informed election to assume all associated risks as set forth herein.
Activities may occur in public or semi-public spaces that are not subject to road closures or fully controlled environments.

	3.	RELEASE AND WAIVER OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PARTICIPANT, FOR THEMSELVES AND FOR THEIR HEIRS, PERSONAL REPRESENTATIVES, EXECUTORS, ADMINISTRATORS, SUCCESSORS, AND ASSIGNS, HEREBY IRREVOCABLY RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE THE RELEASED PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, EXPENSES, OR LIABILITIES OF ANY NATURE WHATSOEVER, WHETHER KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, ARISING OUT OF OR IN ANY WAY RELATED TO PARTICIPANT’S ATTENDANCE AT OR PARTICIPATION IN THE EVENT, INCLUDING BUT NOT LIMITED TO PARTICIPATION IN SAUNA AND COLD PLUNGE ACTIVITIES.
THIS RELEASE EXPRESSLY INCLUDES CLAIMS ARISING FROM THE NEGLIGENCE, GROSS NEGLIGENCE, BREACH OF WARRANTY, BREACH OF CONTRACT, OR ANY OTHER ACT OR OMISSION OF THE RELEASED PARTIES, EXCEPT WHERE PROHIBITED BY LAW.
Participant acknowledges that this Release is intended to be as broad and inclusive as permitted under the laws of the State of South Carolina and agrees that if any portion is held invalid, the balance shall continue in full legal force and effect.

	4.	EXPRESS ASSUMPTION OF RISK
Participant expressly acknowledges that participation in the Event involves inherent risks that cannot be eliminated regardless of the care exercised by the Released Parties. Participant voluntarily and knowingly assumes full responsibility for all such risks.
A. General Event Risks (including but not limited to):
• Death or permanent disability
• Serious bodily injury
• Cardiac event, heart attack, or stroke
• Heat exhaustion, dehydration, or overexertion
• Slips, trips, falls, or collisions
• Muscle strains, sprains, fractures, or concussions
• Allergic reactions to food, beverages, or products
• Illness or exposure to communicable disease
• Aggravation of pre-existing medical conditions
• Risks associated with outdoor terrain, weather, traffic, and uneven surfaces
B. Sauna and Cold Plunge Specific Risks (including but not limited to):
• Hyperthermia, heat stroke, or thermal burns from extreme heat
• Hypothermia or cold shock response from cold water immersion
• Sudden cardiac arrest, cardiac arrhythmia, or acute cardiovascular stress
• Fainting, loss of consciousness, or risk of drowning
• Severe respiratory distress, involuntary gasping, or hyperventilation
• Acute blood pressure fluctuation or circulatory compromise
• Aggravation of cardiovascular, neurological, or autoimmune conditions
• Slip, trip, or fall in wet or slippery areas adjacent to Sauna or Cold Plunge
• Adverse interaction with medications or pre-existing conditions
Participant has had the opportunity to consult with a licensed physician prior to participating in Sauna or Cold Plunge activities. Participant represents and warrants that they:
(i) are in good physical health and are not aware of any condition that would contraindicate participation in extreme heat or cold water immersion;
(ii) are not pregnant;
(iii) do not have uncontrolled hypertension, unstable cardiac disease, epilepsy, Raynaud’s disease, or open wounds;
(iv) are not under the influence of alcohol, recreational drugs, or any medication that may impair their response to temperature extremes; and
(v) will immediately cease participation and seek assistance if they experience chest pain, dizziness, shortness of breath, numbness, confusion, or any other adverse symptom.
Participant accepts sole responsibility for accurately representing their medical fitness and for self-monitoring throughout the Event.

	5.	INDEMNIFICATION AND HOLD HARMLESS
Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) brought by Participant or any third party arising out of or related to: (a) Participant’s participation in the Event, including Sauna and Cold Plunge activities; (b) any breach or misrepresentation by Participant under this Agreement; or (c) any act or omission of Participant during the Event.

	6.	MINOR PARTICIPATION
No person under the age of 18 may participate in Sauna or Cold Plunge activities under any circumstances.
For all other Event activities, participants under the age of 18 must have a parent or legal guardian execute this Agreement on their behalf. By doing so, the parent or legal guardian: (a) consents to the minor’s participation; (b) agrees to all terms of this Agreement on behalf of themselves and the minor; and (c) agrees to indemnify and hold harmless the Released Parties from any and all claims arising out of or related to the minor’s participation.

	7.	PUBLICITY AND MEDIA RELEASE
Participant irrevocably grants WHEALTH Social and its affiliates, licensees, and successors the unrestricted right and license to photograph, video record, and otherwise capture Participant’s name, image, likeness, voice, statements, and appearance during the Event. Participant authorizes the use of such materials in perpetuity, worldwide, for marketing, promotional, advertising, editorial, and any other lawful commercial or non-commercial purposes, in any and all media now known or hereafter devised, without further consent or compensation. Participant waives any right to inspect, approve, or object to such materials and any claim for royalty, compensation, or other remuneration arising from their use.

	8.	MEDICAL AUTHORIZATION
In the event Participant is injured or incapacitated and unable to communicate, Participant authorizes the Released Parties and emergency personnel to seek and obtain emergency medical treatment on Participant’s behalf. Participant agrees to be solely responsible for all costs of such medical treatment. The Released Parties shall have no obligation or liability in connection with any emergency medical decisions made in good faith on Participant’s behalf.

	9.	NO RELIANCE ON REPRESENTATIONS
Participant acknowledges that no oral or written representations, warranties, or inducements have been made by the Released Parties or their representatives regarding the safety, fitness, or suitability of any Event activity, including Sauna or Cold Plunge, beyond what is expressly stated in this Agreement. Participant has not relied on any such representation in deciding to participate.

	10.	SEVERABILITY
If any provision of this Agreement is determined to be invalid, void, or unenforceable by a court of competent jurisdiction, such determination shall not affect the validity or enforceability of any other provision, each of which shall remain in full force and effect. Any invalid provision shall be modified only to the minimum extent necessary to make it enforceable.

	11.	ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between Participant and the Released Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral. This Agreement may not be modified except by a written instrument signed by an authorized representative of WHEALTH Social.

	12.	GOVERNING LAW AND VENUE
This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Participant irrevocably consents to the exclusive jurisdiction and venue of the state and federal courts located in South Carolina for any dispute arising out of or related to this Agreement or the Event.

	13.	ELECTRONIC CONSENT
Participant acknowledges and agrees that checking the consent box constitutes a legally binding electronic signature with the same force and effect as a handwritten signature under applicable state and federal law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the South Carolina Uniform Electronic Transactions Act (UETA). Participant further acknowledges that their name, email address, IP address, and timestamp recorded at the time of consent may be retained as evidence of their agreement.

	14.	ACKNOWLEDGMENT AND VOLUNTARY EXECUTION
BY CHECKING THE CONSENT BOX, PARTICIPANT ACKNOWLEDGES THAT THEY HAVE READ THIS AGREEMENT IN ITS ENTIRETY, UNDERSTAND ITS CONTENTS AND LEGAL CONSEQUENCES, AND HAVE HAD A FULL AND FAIR OPPORTUNITY TO SEEK INDEPENDENT LEGAL COUNSEL PRIOR TO AGREEING. PARTICIPANT UNDERSTANDS THAT THIS AGREEMENT CONSTITUTES A COMPLETE WAIVER OF SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO BRING LEGAL ACTION AGAINST THE RELEASED PARTIES FOR INJURIES OR DAMAGES SUFFERED DURING THE EVENT.
PARTICIPANT SPECIFICALLY ACKNOWLEDGES THAT SAUNA AND COLD WATER IMMERSION ACTIVITIES CARRY ELEVATED INHERENT RISK OF SERIOUS INJURY OR DEATH, THAT PARTICIPATION IS ENTIRELY VOLUNTARY, AND THAT THEY HAVE BEEN ADVISED TO CONSULT A LICENSED PHYSICIAN PRIOR TO ENGAGING IN SUCH ACTIVITIES.
PARTICIPANT AGREES TO THIS AGREEMENT FREELY, KNOWINGLY, AND VOLUNTARILY, AND INTENDS IT TO BE A LEGALLY BINDING, COMPLETE, AND UNCONDITIONAL RELEASE OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
