WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT

THIS WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT (THE “AGREEMENT”) CONTAINS A WAIVER OF YOUR RIGHT TO SUE, A RELEASE OF CLAIMS, AN ASSUMPTION OF RISK, AN INDEMNITY AGREEMENT, A PUBLICITY RELEASE, AND OTHER PROVISIONS THAT MAY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ATTENDING OR PARTICIPATING.

By purchasing a ticket, registering for, attending, participating in, volunteering at, or otherwise engaging with the event described below, I acknowledge that I have read, understood, and voluntarily agree to be bound by this Agreement.

1. WAIVER AND RELEASE OF LIABILITY

In consideration of being permitted to attend, participate in, volunteer at, enter the premises for, or otherwise engage in the event identified below, including all associated activities, services, vendors, activations, facilities, equipment, staff, volunteers, sponsors, partners, and premises used in connection with the event, I, for myself and for my heirs, representatives, executors, administrators, successors, assigns, and any other person or entity acting on my behalf or on behalf of my estate, hereby knowingly and voluntarily release, waive, discharge, covenant not to sue, and hold harmless the Released Parties from any and all claims, demands, actions, causes of action, damages, losses, liabilities, costs, and expenses arising out of or related to my attendance at or participation in the Event.

This release includes, without limitation, claims for personal injury, illness, death, property damage, property loss, theft, accidents, negligence, premises liability, negligent supervision, negligent instruction, negligent operation, negligent maintenance, negligent hiring, and any other claim arising out of or related to my attendance at or participation in the Event, to the fullest extent permitted by applicable law.

For purposes of this Agreement, the “Released Parties” include Whealth Social, Whealth Social Charleston, WHEALTH Social, Whealth Social CHS, any affiliated companies, entities, owners, organizers, directors, officers, employees, contractors, volunteers, event staff, vendors, instructors, trainers, sponsors, advertisers, service providers, treatment providers, wellness providers, brand partners, venue owners, venue operators, property owners, property managers, landlords, lessors, equipment providers, The Landing at Seabreeze Marina, Seabreeze Marina, and all other persons or entities involved in organizing, hosting, producing, operating, sponsoring, promoting, or supporting the Event, including their respective owners, officers, directors, employees, agents, representatives, contractors, successors, and assigns.

2. DESCRIPTION OF EVENT AND ACTIVITIES

Event Name: Whealth Social Wellness Day Social

Event Date: Saturday, July 18

Event Time: 9:00 AM – 12:00 PM

Event Location: The Landing at Seabreeze Marina

Event Address: 49 Immigration St, Charleston, SC 29403

Event activities may include, without limitation, coffee service, food and beverage service, cold plunges, ice plunges, wellness activations, recovery services, house music, curated brand giveaways, vendor booths, sponsor activations, local brand activations, waterfront gathering areas, social/community activities, photography, videography, promotional activities, and other related wellness, fitness, recovery, lifestyle, marketing, and community experiences.

I understand that some activities, services, samples, products, or activations may be provided by independent third-party vendors, instructors, sponsors, wellness providers, brand partners, or service providers. I agree that this Agreement applies to all such activities, vendors, providers, sponsors, partners, and services connected to the Event.

3. ASSUMPTION OF RISKS

I understand and acknowledge that attendance at and participation in the Event is voluntary and may involve inherent, known, and unknown risks that cannot be fully eliminated, even with reasonable care. These risks may vary depending on the activity and may include, without limitation:

Death

Serious injury

Paralysis

Heart attack

Stroke

Dizziness, fainting, or loss of consciousness

Dehydration

Exhaustion

Heat illness or heat stroke

Hypothermia or cold-related injury

Shock or adverse reaction to cold plunge, ice plunge, ice bath, or temperature exposure

Drowning or water-related injury

Slips, trips, and falls

Muscle strains, sprains, joint injuries, bone injuries, or other physical injuries

Concussions or head injuries

Cuts, bruises, scrapes, blisters, or abrasions

Burns, skin irritation, or other adverse skin reactions

Allergic reactions

Foodborne illness

Choking or adverse reactions from food, beverages, caffeine, supplements, samples, or products

Risks associated with physical exertion, movement, stretching, wellness activities, recovery activities, or participation in group activities

Risks associated with use of shared equipment, wet surfaces, uneven surfaces, docks, waterfront areas, stairs, walkways, marina areas, or outdoor venue conditions

Risks associated with equipment failure, improper use of equipment, or use of facilities provided by third parties

Risks related to crowded spaces, public venues, vendors, sponsors, attendees, staff, and third-party participants

Exposure to COVID-19, influenza, bacteria, viruses, or other communicable diseases or illnesses

Exacerbation of pre-existing health conditions, including but not limited to cardiovascular, respiratory, neurological, musculoskeletal, skin, mental health, or temperature-sensitivity conditions

Property loss, theft, or damage

Other risks that may not be known or reasonably foreseeable at this time

I voluntarily assume full responsibility for all risks, known and unknown, associated with my attendance at and participation in the Event. I understand that it is my responsibility to evaluate whether I am physically, mentally, and medically able to participate safely.

4. MEDICAL REPRESENTATION AND FITNESS TO PARTICIPATE

By signing this Agreement, clicking a consent box, purchasing a ticket, registering for the Event, or attending the Event, I represent and warrant that I am physically and medically able to participate safely in the Event and that I do not have any medical condition, injury, illness, sensitivity, limitation, or other circumstance that would make my participation unsafe.

I understand that Whealth Social and the Released Parties are not medical providers and are not responsible for determining whether I am healthy enough to participate. I acknowledge that I have either consulted with a qualified medical professional regarding my participation or have voluntarily chosen not to do so.

I agree to stop participating immediately if I experience pain, dizziness, shortness of breath, discomfort, numbness, confusion, excessive fatigue, cold-related distress, heat-related distress, anxiety, or any other symptom that may indicate a health or safety concern.

I understand that emergency medical care may not be immediately available and that I am responsible for any medical costs, transportation costs, ambulance costs, hospital costs, or other expenses arising from injury, illness, or emergency treatment connected to the Event.

I authorize Event staff, venue staff, or emergency personnel to obtain or provide emergency medical assistance if they believe it is necessary. I understand that this authorization does not create any duty for the Released Parties to provide medical care or guarantee that medical care will be available.

5. COLD PLUNGE, ICE PLUNGE, AND TEMPERATURE-EXPOSURE ACKNOWLEDGMENT

I understand that cold plunges, ice plunges, ice baths, and other temperature-exposure activities may involve significant risks, including but not limited to shock, panic, hyperventilation, cold stress, hypothermia, dizziness, fainting, heart complications, blood pressure changes, loss of consciousness, drowning, and exacerbation of pre-existing medical conditions.

I agree that I will not participate in cold plunge, ice plunge, ice bath, or temperature-exposure activities if I have any condition that could make participation unsafe, including but not limited to heart disease, high or low blood pressure, circulatory issues, respiratory conditions, seizure disorders, pregnancy, fainting history, cold sensitivity, open wounds, recent surgery, or any other condition that may be affected by cold exposure.

I agree to follow all instructions provided by Event staff, vendors, wellness providers, or cold plunge operators. I understand that I may be denied access to or removed from any cold plunge or temperature-exposure activity for safety reasons.

6. CERTIFICATION OF SOBRIETY AND PHYSIOLOGICAL SAFETY

I certify, represent, and warrant that I am not under the influence of alcohol, illegal drugs, impairing substances, or any medication or substance that may impair my judgment, coordination, balance, cardiovascular function, circulation, temperature regulation, or ability to participate safely.

I understand that participation in physical activity, cold plunge, ice plunge, recovery services, or other wellness activities may pose increased risks if I am under the influence of alcohol, drugs, medications, or other impairing substances.

I acknowledge that Whealth Social and the Released Parties reserve the right to deny participation, remove me from the Event, or refuse service if they believe I may be impaired, acting unsafely, or posing a risk to myself or others. I understand that removal or denial of participation may occur without refund or compensation.

7. INDEMNIFICATION AND HOLD HARMLESS

I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, actions, lawsuits, damages, liabilities, losses, judgments, settlements, costs, and expenses, including attorney’s fees, expert witness fees, and court costs, arising out of or related to:

My attendance at or participation in the Event;

My breach of this Agreement;

My violation of any Event rules, venue rules, laws, safety instructions, or posted signage;

My negligent, reckless, intentional, or wrongful conduct;

My use or misuse of any facilities, equipment, products, samples, services, or activities;

Any injury, loss, or damage caused by me to another person, property, vendor, sponsor, venue, or Released Party.

8. AGE REQUIREMENT

I represent and warrant that I am at least 18 years of age at the time of signing this Agreement.

Individuals under the age of 18 are not permitted to participate in the Event unless expressly authorized in writing by Whealth Social and accompanied by a parent or legal guardian who has completed any required minor waiver forms. If the Event is listed as 18+, I understand that individuals under 18 are strictly prohibited from attending or participating.

9. EVENT RULES AND RIGHT TO REMOVE

I agree to follow all instructions, rules, posted signage, verbal directions, safety protocols, and venue policies provided by Whealth Social, Event staff, instructors, vendors, service providers, sponsors, and venue representatives.

I understand that Whealth Social and the Released Parties reserve the right to refuse entry, deny participation, remove any participant, stop any activity, or modify Event operations at any time for safety, conduct, capacity, operational, weather-related, legal, or business reasons.

I understand that I may be removed without refund if I fail to follow rules, act unsafely, harass others, damage property, appear impaired, disrupt the Event, or create a risk to myself or others.

10. THIRD-PARTY VENDORS, SPONSORS, AND SERVICES

I understand that the Event may include independent third-party vendors, wellness providers, food and beverage providers, instructors, sponsors, brand partners, and service providers. I acknowledge that such third parties may require separate waivers, consents, intake forms, or agreements before I participate in their services or receive their products.

I understand that Whealth Social is not responsible for the acts, omissions, products, services, representations, warranties, or conduct of third-party vendors, sponsors, brand partners, wellness providers, or service providers, except as required by applicable law.

I agree to make my own independent decision regarding whether to participate in any third-party service, consume any third-party product, or engage with any third-party vendor or sponsor.

11. FOOD, BEVERAGES, COFFEE, SAMPLES, AND ALLERGIES

I understand that food, beverages, coffee, samples, supplements, or other consumable items may be available at the Event. I acknowledge that consumption is voluntary and that I am solely responsible for determining whether any food, beverage, supplement, sample, or product is safe for me to consume.

I understand that allergens may be present, including but not limited to nuts, dairy, gluten, soy, eggs, shellfish, caffeine, and other ingredients. I assume all risks related to allergic reactions, sensitivities, foodborne illness, choking, caffeine reactions, or other adverse reactions.

12. PUBLICITY RELEASE

I hereby grant Whealth Social, the Released Parties, and their designees permission to photograph, film, record, livestream, or otherwise capture my name, image, likeness, voice, appearance, statements, and participation in the Event.

I authorize Whealth Social and the Released Parties to use, reproduce, edit, alter, publish, display, distribute, license, sell, assign, or otherwise exploit such photographs, videos, recordings, images, and materials for advertising, marketing, promotional, commercial, editorial, social media, website, press, internal, archival, and other lawful purposes, in any media now known or later developed, without compensation, notice, review, or approval.

I waive any right to inspect or approve the materials and any right to royalties, payment, or other compensation arising from the use of my name, image, likeness, voice, appearance, or statements.

13. PERSONAL PROPERTY

I understand that I am solely responsible for my personal belongings at the Event. I acknowledge that the Released Parties are not responsible for lost, stolen, damaged, or misplaced property, including but not limited to phones, wallets, bags, clothing, shoes, jewelry, cameras, fitness equipment, or other personal items.

14. WEATHER, VENUE CONDITIONS, AND EVENT CHANGES

I understand that the Event may take place indoors, outdoors, near waterfront areas, on docks, near marina spaces, or in areas affected by weather, water, humidity, heat, wind, rain, uneven surfaces, wet surfaces, or other environmental conditions.

I acknowledge that Event details, schedule, vendors, activities, services, amenities, entertainment, sponsors, and offerings may change at any time. Whealth Social and the Released Parties reserve the right to modify, delay, relocate, reschedule, cancel, or end the Event or any portion of the Event for weather, safety, capacity, operational, legal, venue-related, or business reasons.

15. NO GUARANTEE OF RESULTS OR EXPERIENCE

I understand that Whealth Social does not guarantee any specific wellness, fitness, health, recovery, social, personal, business, promotional, or other result from attending or participating in the Event.

I understand that participation is voluntary and that my experience may vary depending on crowd size, capacity, vendor participation, weather, venue conditions, and operational circumstances.

16. REFUND AND TRANSFER ACKNOWLEDGMENT

I understand that all ticket purchases may be subject to the refund, transfer, cancellation, and event policies stated on the ticketing platform, Event page, or related communications. Unless otherwise stated in writing, tickets may be non-refundable.

I understand that removal from the Event, denial of participation, inability to participate in certain activities, schedule changes, vendor changes, weather, or personal circumstances may not entitle me to a refund.

17. SEVERABILITY

I agree that this Agreement is intended to be as broad and inclusive as permitted by applicable law. If any portion of this Agreement is found to be invalid, unenforceable, or unlawful, the remaining portions shall continue in full force and effect.

18. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Event is held, without regard to conflict of law principles. Because this Event is held in South Carolina, this Agreement shall be governed by the laws of the State of South Carolina.

19. CONSENT TO ELECTRONIC SIGNATURE

I agree that clicking a consent box, purchasing a ticket, registering for the Event, or electronically signing this Agreement has the same legal effect as physically signing this Agreement. I agree that my electronic consent is evidence of my intent to be bound by this Agreement.

20. ACKNOWLEDGMENT OF UNDERSTANDING

I have read this entire Agreement and fully understand its terms. I understand that I am giving up substantial legal rights, including the right to sue the Released Parties. I acknowledge that I have had the opportunity to consult legal counsel before signing this Agreement.

I confirm that I am signing this Agreement freely and voluntarily, that I am not relying on any statements or representations not expressly contained in this Agreement, and that I intend this Agreement to be a complete and unconditional release of liability to the greatest extent permitted by law.
