YOPRO SPORTS — KICKBOXING SOCIAL
PARTICIPANT ASSUMPTION OF RISK, RELEASE OF LIABILITY, AND WAIVER

PLEASE READ CAREFULLY. THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE.

In consideration for being permitted to attend or participate in the YoPro Sports kickboxing social (the “Event”), organized by Young Professionals Sport Socials Limited Company, d/b/a YoPro Sports and/or YoPro Sport Socials (“YoPro”), with kickboxing instruction provided by Renzo Gracie Heights, I agree as follows:

**1. VOLUNTARY PARTICIPATION AND ASSUMPTION OF RISK**

I understand that kickboxing, martial arts training, exercise, and related physical activities involve inherent and other risks of injury. These risks exist even when reasonable safety precautions are taken and even when the activity is supervised by experienced instructors.

Risks may include, without limitation:

• being struck by or coming into contact with pads, bags, equipment, instructors, or other participants;
• slips, trips, falls, collisions, or loss of balance;
• muscle strains, sprains, bruises, cuts, abrasions, fractures, dislocations, or torn muscles, ligaments, or tendons;
• injuries to the hands, wrists, elbows, shoulders, knees, ankles, feet, back, neck, face, teeth, or eyes;
• concussion or other head injury from accidental contact or falls;
• overexertion, fatigue, dehydration, dizziness, heat-related illness, shortness of breath, or cardiovascular events;
• aggravation of a pre-existing injury or medical condition;
• equipment failure or improper use of equipment;
• actions, mistakes, or negligence of other participants; and
• serious or catastrophic injury, including paralysis or death.

I KNOWINGLY AND VOLUNTARILY ACCEPT AND ASSUME ALL RISKS ASSOCIATED WITH MY PARTICIPATION, WHETHER KNOWN OR UNKNOWN, FORESEEABLE OR UNFORESEEABLE, TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW.

**2. NO SPARRING OR INTENTIONAL HEAD CONTACT**

I understand that this Event is intended to be a controlled kickboxing instructional and fitness session and is not an unsupervised fight or sparring event.

I agree that I will not engage in sparring, fighting, intentional head contact, reckless striking, or any activity prohibited by the Renzo Gracie Heights instructors. I will follow all instructions concerning technique, intensity, equipment, partner drills, and safety.

I understand that an instructor or organizer may require me to reduce my intensity, modify an exercise, stop participating, or leave the Event if my conduct is considered unsafe or disruptive.

**3. PHYSICAL CONDITION AND PERSONAL RESPONSIBILITY**

I represent that I am at least 18 years old and am voluntarily participating.

I understand that YoPro and Renzo Gracie Heights are not responsible for determining whether I am medically or physically fit to participate. I am responsible for evaluating my own health, fitness, abilities, limitations, and injuries before participating.

I agree not to participate in any movement, drill, exercise, or activity that I believe exceeds my abilities or creates an unreasonable risk to my health or safety. I may stop participating at any time.

If I have questions about whether participation is medically appropriate for me, I understand that I should consult an appropriate healthcare professional before participating.

**4. RELEASE OF LIABILITY — INCLUDING ORDINARY NEGLIGENCE**

**I EXPRESSLY UNDERSTAND AND AGREE THAT I AM RELEASING THE RELEASED PARTIES FROM CLAIMS ARISING FROM THEIR OWN ORDINARY NEGLIGENCE.**

To the fullest extent permitted by Texas law, I RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE:

Young Professionals Sport Socials Limited Company; YoPro Sports; YoPro Sport Socials; Renzo Gracie Heights; the owners and operators of the premises where the Event occurs; SweatPals; and each of their respective owners, members, managers, officers, directors, employees, instructors, coaches, contractors, volunteers, agents, affiliates, representatives, successors, and assigns (collectively, the “Released Parties”)

from any and all claims, demands, causes of action, damages, losses, liabilities, costs, or expenses arising out of or relating to my attendance at or participation in the Event, INCLUDING CLAIMS CAUSED IN WHOLE OR IN PART BY THE ORDINARY NEGLIGENCE OF ANY RELEASED PARTY.

**THIS RELEASE EXPRESSLY INCLUDES, TO THE FULLEST EXTENT PERMITTED BY LAW, CLAIMS INVOLVING ORDINARY NEGLIGENCE IN CONNECTION WITH INSTRUCTION, COACHING, SUPERVISION, EVENT ORGANIZATION, SAFETY PRECAUTIONS, FAILURE TO WARN, PREMISES CONDITIONS, EQUIPMENT, THE CONDUCT OF OTHER PARTICIPANTS, AND THE PROVISION OR FAILURE TO PROVIDE FIRST AID OR EMERGENCY ASSISTANCE.**

This release applies to bodily injury, illness, death, emotional injury, property damage, theft, loss, and other harm arising from my participation in or presence at the Event.

This waiver is not intended to release any liability that cannot lawfully be released under applicable Texas law.

**5. PARTICIPANT CONDUCT**

I agree to:

• follow all instructions and safety rules communicated by YoPro or Renzo Gracie Heights personnel;
• use equipment only as instructed;
• maintain reasonable control over my movements and strikes;
• immediately stop an activity if instructed to do so;
• avoid reckless, aggressive, or intentionally dangerous behavior;
• inform an instructor if I do not understand a drill or believe I cannot safely perform it; and
• respect the physical boundaries and safety of other participants.

I understand that violating these rules may result in my immediate removal from the Event without refund.

**6. RISKS CREATED BY OTHER PARTICIPANTS**

I understand that YoPro and Renzo Gracie Heights cannot completely control the actions of every participant.

I voluntarily assume the risks associated with accidental contact, participant error, unexpected movements, failure of another participant to follow instructions, differences in experience or physical ability, and other participant conduct ordinarily associated with group fitness or martial arts activities.

**7. EMERGENCY MEDICAL TREATMENT**

If I become injured or ill and am unable to provide instructions, I authorize Event personnel to contact emergency medical services and to provide or arrange reasonable emergency assistance.

I understand that neither YoPro nor the other Released Parties guarantee the availability of medical personnel or emergency treatment.

I am responsible for any medical, ambulance, hospital, or other expenses incurred on my behalf.

**8. PERSONAL PROPERTY**

I am responsible for my personal belongings. To the fullest extent permitted by law, I release the Released Parties from claims arising from the loss, theft, or damage of personal property brought to the Event.

**9. INDEMNIFICATION FOR MY CONDUCT**

To the fullest extent permitted by law, I agree to indemnify and hold harmless the Released Parties from third-party claims, damages, costs, or expenses, including reasonable attorneys’ fees, arising from my own reckless or intentional conduct, my violation of Event safety rules, or injury or damage that I cause to another person or their property.

**10. NO GUARANTEE OF SAFETY**

I understand that safety precautions, rules, instructors, mats, protective equipment, and supervision can reduce risk but cannot eliminate all possibility of injury.

I understand that my participation is voluntary and that I may choose not to participate or may stop participating at any time.

**11. TEXAS LAW; SEVERABILITY**

This agreement shall be interpreted under the laws of the State of Texas.

If any provision of this agreement is found invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

To the extent legally permitted, any dispute relating to this agreement or the Event shall be brought in a court of competent jurisdiction located in Harris County, Texas.

**12. ACKNOWLEDGMENT AND ELECTRONIC ACCEPTANCE**

BY REGISTERING FOR OR PARTICIPATING IN THIS EVENT AND ELECTRONICALLY ACCEPTING THIS WAIVER, I ACKNOWLEDGE THAT:

• I HAVE READ THIS ENTIRE AGREEMENT;
• I UNDERSTAND ITS TERMS;
• I UNDERSTAND THAT KICKBOXING INVOLVES A RISK OF SERIOUS INJURY;
• I VOLUNTARILY ASSUME THOSE RISKS;
• I UNDERSTAND THAT I AM GIVING UP SIGNIFICANT LEGAL RIGHTS, INCLUDING CERTAIN RIGHTS TO SUE THE RELEASED PARTIES FOR THEIR OWN ORDINARY NEGLIGENCE; AND
• I VOLUNTARILY AGREE TO BE BOUND BY THIS WAIVER AND RELEASE.
